SHAREHOLDER AGREEMENT

This Shareholder Agreement (the "Agreement") is made and entered into as of by and between Company Name: , a corporation organized under the laws of , with its principal place of business at (the "Company"), and Shareholder Name: , of (the "Shareholder"). Company and Shareholder are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, the Company is duly organized and authorized to issue shares of its capital stock, and the Shareholder is the owner of certain issued and outstanding shares of the Company as set forth below; and

WHEREAS, the Parties desire to set forth their respective rights and obligations with respect to ownership, transfer, governance, distributions and other matters relating to the Company and its Shares.

WHEREAS, the Parties intend that this Agreement provide for mechanisms for transfer restrictions, pre-emptive rights, and remedies to protect the business and economic interests of the Parties.

NOW THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1. "Shares" means the issued and outstanding shares of the Company's capital stock owned by the Shareholder, currently consisting of shares, representing approximately of the outstanding voting power of the Company.

1.2. "Affiliate" means, with respect to any Person, any other Person directly or indirectly controlling, controlled by or under common control with such Person.

2. SHARE OWNERSHIP; CAPITAL CONTRIBUTION

2.1. Shareholder represents that as of the Effective Date the Shareholder holds the number of Shares set forth above free and clear of liens and encumbrances except as disclosed in writing to the Company.

3. VOTING RIGHTS AND BOARD MATTERS

3.1. Subject to the provisions of this Agreement and applicable law, the Shareholder shall have the right to vote all Shares held by the Shareholder on all matters submitted to the holders of capital stock.

3.2. If the Shareholder holds at least of the outstanding voting power, the Shareholder shall be entitled to nominate one director to the Company's board of directors. Nominations shall be exercised in writing delivered to the Company in accordance with the Notices provision of this Agreement.

4. DIVIDENDS AND DISTRIBUTIONS

4.1. Distributions of cash or property shall be made to holders of Shares pro rata in accordance with their respective shareholdings unless otherwise agreed in writing by the requisite holders as required by the Company's governing documents.

4.2. The declaration and payment of any dividend shall be within the sole discretion of the board of directors, subject to applicable law and any accrued preferential rights of any class of stock.

5. RESTRICTIONS ON TRANSFER; RIGHT OF FIRST REFUSAL

5.1. No Party shall Transfer any Shares except in accordance with this Agreement. "Transfer" includes any sale, assignment, pledge, encumbrance or other disposition.

5.2. Prior to any Transfer of Shares by the Shareholder (other than Transfers to Affiliates), the transferring Shareholder shall deliver written notice to the Company describing the proposed transferee, the number of Shares, and the proposed price. The Company and then the non-transferring holders shall have a period of days to elect to purchase such Shares on the same terms.

6. TAG-ALONG AND DRAG-ALONG RIGHTS

6.1. If one or more holders propose to Transfer a controlling block of Shares to a third party, Minority Shareholders shall have tag-along rights to include their Shares in such sale on substantially the same terms and conditions.

6.2. If holders holding at least of the outstanding voting power approve a sale of the Company, such holders may require Minority Shareholders to sell their Shares (drag-along) on the same terms and conditions as the majority holders.

7. PRE-EMPTIVE RIGHTS

7.1. In the event the Company proposes to issue additional equity securities, the Shareholder shall have the right to purchase its pro rata share of such issuance on the same terms to maintain its percentage ownership, subject to reasonable customary exceptions for employee plans and strategic financings approved by the board.

8. CONFIDENTIALITY

8.1. Each Party shall keep confidential all non-public information concerning the business, operations, customers, financial condition and plans of the Company obtained as a result of its ownership of Shares and shall not disclose such information except as required by law or with the prior written consent of the Company.

9. REPRESENTATIONS AND WARRANTIES

9.1. Each Party represents and warrants to the other that: (a) it is duly organized and in good standing under applicable law; (b) it has full power and authority to execute and deliver this Agreement and to perform its obligations hereunder; and (c) this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.

9.2. The Shareholder represents that the Shares are owned beneficially by the Shareholder and that there are no outstanding agreements, options or commitments to transfer any of the Shares except as disclosed in writing.

10. INDEMNIFICATION

10.1. Each Party shall indemnify, defend and hold harmless the other Party from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach by the indemnifying Party of its representations, warranties or covenants contained in this Agreement.

11. TERM; TERMINATION

11.1. This Agreement shall remain in full force and effect until terminated by written agreement of the Parties or as otherwise provided herein. Termination shall not relieve any Party of obligations accrued prior to such termination.

12. DISPUTE RESOLUTION

12.1. The Parties shall seek in good faith to resolve any dispute arising under this Agreement by negotiation between senior representatives. If the dispute is not resolved within thirty (30) days, the Parties agree to submit the dispute to binding arbitration in accordance with the commercial arbitration rules agreed by the Parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13. NOTICES

13.1. All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and shall be deemed duly given when delivered personally, sent by reputable overnight courier, or mailed by certified mail, return receipt requested, to the addresses set forth above or to such other address as either Party may designate by written notice to the other in accordance with this Section.

14. AMENDMENTS; WAIVER; COUNTERPARTS

14.1. This Agreement may be amended only by a written instrument executed by the Parties. No failure or delay by any Party in exercising any right shall operate as a waiver thereof. Any waiver must be in writing and signed by the waiving Party.

14.2. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be effective as originals.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

15.1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of , without regard to principles of conflicts of law.

15.2. Entire Agreement. This Agreement, together with the Company's articles of incorporation and bylaws (or comparable charter documents), constitutes the entire agreement among the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, both written and oral.

15.3. Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. MISCELLANEOUS PROVISIONS

16.1. Assignment. Except as expressly permitted herein, a Party may not assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party, which consent shall not be unreasonably withheld.

16.2. Survival. The representations, warranties and covenants of the Parties shall survive the execution and delivery of this Agreement to the extent necessary to carry out their intent.
