SHAREHOLDER DISTRIBUTIONS AGREEMENT

This Shareholder Distributions Agreement (the Agreement) is made effective as of by and between Company Name: , a corporation with principal address (Company), and Shareholder Name: , with address (Shareholder).

RECITALS

WHEREAS, the Shareholder is the record and beneficial owner of shares of class (Shares); and WHEREAS, the parties desire to set forth the terms and conditions governing distributions of cash or property by the Company to the Shareholder.

DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Distributable Earnings" means the Company’s retained earnings as determined in accordance with generally accepted accounting principles consistently applied and after provision for all known liabilities and reserves reasonably required by the Board of Directors.

DISTRIBUTION AUTHORITY AND SCHEDULE

Distributions shall be made only when and to the extent authorized by the Board of Directors in accordance with the Company’s governing documents and applicable law. The parties agree that distributions to the Shareholder shall be computed and declared as follows.

RECORD DATE AND PAYMENT

Distributions declared by the Board shall specify a record date and a payment date. The record date for eligibility to receive a declared distribution shall be and the payment date shall be unless otherwise specified by the Board.

WITHHOLDING AND TAXES

The Company shall withhold and remit any taxes or other amounts required to be withheld under applicable law. The Shareholder acknowledges that distributions may be subject to federal, state, local or foreign withholding, and the Shareholder shall indemnify the Company for any failure to provide documentation necessary to determine appropriate tax treatment.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that it has full power and authority to enter into this Agreement and to perform its obligations hereunder; that the execution and delivery of this Agreement has been duly authorized; and that this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.

INDEMNIFICATION

The Shareholder agrees to indemnify and hold harmless the Company and its officers, directors and agents from and against any losses, claims, damages or liabilities (including reasonable attorneys' fees) arising out of the Shareholder’s breach of representations, failure to provide required tax documentation, or other acts or omissions in connection with distributions.

AMENDMENT; TERMINATION

This Agreement may be amended only by a written instrument executed by both the Company and the Shareholder. This Agreement shall terminate upon unanimous written agreement of the parties or as otherwise provided by law or the governing documents of the Company.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified mail (return receipt requested), or by overnight courier to the addresses set forth herein or to such other address as either party may specify by notice to the other.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state identified for governing law below, without regard to conflicts of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration unless the parties mutually agree in writing otherwise.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to distributions and supersedes all prior agreements and understandings on that subject.

BOARD AUTHORIZATION

The Shareholder acknowledges that all distributions are subject to authorization by the Board of Directors. Board approval documented by resolution is required prior to any distribution payment.
