What a Shareholder Share Purchase Resolution Is

A Shareholder Share Purchase Resolution is a corporate record documenting the approval by a corporation’s board or shareholders to buy, sell, or transfer company shares under agreed terms. It records the parties, number and class of shares, purchase price, effective date, closing conditions, and any approvals required by corporate bylaws or shareholder agreements. The resolution creates an internal authorization that the corporate secretary typically records in the minute book and stock ledger and serves as evidence of corporate action for auditors, transfer agents, and regulators.

Why a Formal Resolution Matters

Using a clear written resolution preserves corporate governance, documents lawful authority for the transfer, and protects the company and purchasers by recording agreed terms and required approvals in the corporate record.

Why a Formal Resolution Matters

Who Typically Prepares and Uses This Resolution

This resolution is used by corporations, their counsel, and parties to equity transfers to document approval and effect the transfer cleanly.

  • Private company boards and officers authorizing share purchases and transfers in accordance with bylaws.
  • Corporate counsel drafting or reviewing terms to ensure compliance with securities law and governance rules.
  • Transfer agents and corporate secretaries updating the stock ledger and issuing share certificates after closing.

It is also used by transfer agents, registrars, and internal compliance teams to update stock ledgers and issue replacement certificates.

Who Signs and Why

Board Chair

The Board Chair often signs to evidence board approval of the share purchase resolution; their signature confirms the board vote and authorizes officers to act on the resolution's terms.

Corporate Secretary

The Corporate Secretary typically certifies the resolution, records it in the minute book, and updates the stock ledger or instructs the transfer agent to reflect the change in ownership.

Core Components to Include in the Resolution

A complete resolution identifies parties, states precise share counts and classes, specifies consideration, records approvals, sets an effective date, and assigns authority to complete closing steps.

Parties

Full legal names and capacities of seller(s), purchaser(s), and the issuing corporation to avoid ambiguity in ownership records.

Share Details

Exact number, class, par value (if any), certificate numbers, and how fractional shares are treated for precise ledger updates.

Consideration

Purchase price stated in currency, allocation among shares, and whether any noncash consideration or promissory notes are involved.

Approvals

Record of board or shareholder vote, quorum present, and citation to governing bylaw provisions authorizing the transaction.

Closing Conditions

Any conditions precedent, required consents, tax forms, and representations or warranties needed to close the transfer.

Authorization

Delegation of authority to officers or counsel to execute transfer documents, update ledgers, and instruct transfer agents.
