SHAREHOLDER VARIATION AGREEMENT

This Shareholder Variation Agreement (the "Agreement") is made on between:

Recitals

A. The parties are parties to a shareholders agreement dated (the "Original Agreement").

B. The parties wish to vary certain provisions of the Original Agreement on the terms set out in this Agreement.

3. Effect of Variation

3.1 Except as expressly varied by this Agreement, the Original Agreement remains in full force and effect. Where there is any inconsistency between the provisions of this Agreement and the Original Agreement, the provisions of this Agreement shall prevail to the extent of the inconsistency.

4. Representations, Warranties and Authority

4.1 Each party represents and warrants to the other that:

(a) it has full power and authority to enter into, deliver and perform this Agreement and to give the consents and approvals expressed to be given by it; and

(b) the execution and delivery of this Agreement will not result in a breach of any law or any agreement to which it is a party.

The shareholder certifies that all approvals and corporate authorisations required for this variation have been obtained.

5. Release and Indemnity

5.1 Subject to the terms of this Agreement, each party releases the other from any claim relating solely to the provisions of the Original Agreement that are lawfully and expressly varied by this Agreement, provided that nothing in this clause affects any liability arising from fraud, wilful default or gross negligence.

6. Further Assurances

6.1 Each party must execute and deliver all documents and do all acts necessary to give full effect to this Agreement and the variation effected by it.

7. Governing Law and Jurisdiction

7.1 This Agreement is governed by and is to be construed in accordance with the laws of and the parties submit to the non-exclusive jurisdiction of its courts.

8. Notices

8.1 All notices under this Agreement must be in writing and delivered to the addresses set out below (or to such other address as is notified in writing).

9. Confidentiality

9.1 The parties must keep the terms of this Agreement confidential except to the extent disclosure is required by law, stock exchange rules or with the prior written consent of the other party.
