RECITALS

WHEREAS, the Shareholder is the record and beneficial owner of shares of Class stock of the Company, constituting of the outstanding shares of that class.

WHEREAS, the Company has proposed or is considering the following corporate action for which shareholder votes are required:

AGREEMENT TO VOTE

In consideration of the mutual covenants herein, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Shareholder hereby irrevocably covenants and agrees that, during the Term defined below, the Shareholder shall vote, or cause to be voted, all shares of Company stock now or hereafter owned, directly or indirectly, by the Shareholder (the "Shares") in accordance with the voting instructions set forth in this Agreement.

The Shareholder shall execute and deliver any proxies, written consents, or other instruments reasonably requested by the Company or its designee to effectuate the voting instructions. The Shareholder further agrees not to revoke, rescind or withdraw any proxy, consent or authorization provided pursuant to this Agreement except as expressly permitted by Section Termination below.

PROXY APPOINTMENT

To the extent permitted by law, the Shareholder hereby irrevocably appoints as attorney and proxy the following designee to vote the Shares in accordance with this Agreement:

The authority granted by the Shareholder to the designee is coupled with an interest and is irrevocable except upon written agreement of the Company and the designee or as otherwise provided herein.

TERM; TERMINATION

This Agreement shall be effective as of the Date of Agreement and shall remain in full force and effect until the earliest of: (a) the date on which the specified Matter has been finally voted upon and all related corporate action is completed; (b) written mutual agreement of the parties; (c) transfer of the Shares in accordance with Section Transfers below; or (d) the date of termination set forth below.

TRANSFERS

Any transfer of the Shares, whether voluntary or involuntary, shall be subject to the transferee's agreement in writing, prior to such transfer, to be bound by the terms of this Agreement. The Shareholder shall provide written notice of any proposed transfer to the Company at least days prior to such transfer.

REPRESENTATIONS AND WARRANTIES

The Shareholder represents and warrants to the Company as of the date hereof that:

  1. The Shareholder is the lawful owner of the Shares, free and clear of liens, encumbrances, or adverse claims.
  2. The execution and performance of this Agreement by the Shareholder will not violate any agreement, law, order, or instrument to which the Shareholder is subject.
  3. The Shareholder has full power and authority to enter into this Agreement and to perform the obligations set forth herein.

REMEDIES; SPECIFIC PERFORMANCE

The parties acknowledge that monetary damages may be an inadequate remedy for breach of this Agreement and that the Company shall be entitled to seek injunctive relief, specific performance, or other equitable remedies in any court of competent jurisdiction in addition to any other remedies available at law or in equity. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

MISCELLANEOUS

Amendment: This Agreement may be amended or modified only by a written instrument executed by both the Company and the Shareholder.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
