SHAREHOLDERS' CONSENT AGREEMENT

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the following meanings: "Effective Date" means the date first written above; "Shares" means the shares specified in the Recitals; "Board" means the Company's board of directors.

2. CONSENT TO CORPORATE ACTIONS

The Shareholder hereby consents to, approves and adopts the following actions in lieu of holding a meeting of shareholders:

The Shareholder's consent shall have the same force and effect as the affirmative vote of the Shareholder at a duly noticed meeting of the shareholders for the matters described above, and such actions shall be deemed taken as of the Effective Date.

3. REPRESENTATIONS AND WARRANTIES

The Shareholder represents and warrants to the Company as follows:

(a) Ownership: The Shareholder is the lawful owner of the Shares, free and clear of all liens, encumbrances, security interests, claims and restrictions (other than restrictions under applicable securities laws). The Shareholder has full power and authority to execute and deliver this Agreement and to perform its obligations hereunder.

(b) Authority; Enforceability: This Agreement has been duly executed and delivered by the Shareholder and constitutes a valid and binding obligation of the Shareholder, enforceable in accordance with its terms, except as enforceability may be limited by applicable bankruptcy, insolvency or similar laws affecting creditors' rights generally.

The Company represents and warrants to the Shareholder that it is duly organized and in good standing under the laws of the state of its incorporation and has the corporate power and authority to perform its obligations under this Agreement.

4. EFFECTIVENESS; RECORDS

This Agreement shall become effective upon execution by the Shareholder and the Company, and upon execution the Company shall record the action(s) approved hereby in the corporate records and minutes to reflect the Shareholder's consent in lieu of a meeting.

5. BINDING EFFECT; ASSIGNMENT

This Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, executors, administrators, successors and permitted assigns. The Shareholder may not assign its rights under this Agreement without the prior written consent of the Company.

Any notice required or permitted to be given under this Agreement shall be in writing and shall be delivered by hand, certified mail (return receipt requested), or nationally recognized overnight courier, addressed as follows (or to such other address as a party designates by notice):

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both the Company and the Shareholder. No failure or delay in exercising any right shall operate as a waiver thereof.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without giving effect to principles of conflicts of law that would result in the application of the laws of any other jurisdiction.

9. ENTIRE AGREEMENT

10. SEVERABILITY
