What a Shareholders' Loan Agreement Is and When It’s Used

A Shareholders' Loan Agreement documents the terms under which one or more shareholders lend money to their corporation or to another shareholder. It defines principal, interest rate, repayment schedule, prepayment rights, security or collateral, events of default, and remedies. The agreement clarifies whether the loan is subordinated to other creditors and whether it converts into equity under specified circumstances. Parties commonly use this agreement to formalize short‑term working capital, bridge financing for a corporate transaction, or to record shareholder advances in closely held U.S. companies.

Why a Clear Shareholders' Loan Agreement Matters

A written agreement reduces disputes, protects creditor and shareholder rights, and documents tax and accounting treatment. It provides evidence for corporate recordkeeping and helps lenders show intent and terms if repayment or subordinations are later contested.

Who Typically Prepares and Signs a Shareholders' Loan Agreement

Use professional review for subordinations, convertible features, or where the loan affects minority shareholder rights or SEC/regulated entity reporting obligations.
