SHED AGREEMENT

This Shed Agreement (the "Agreement") is made and entered into as of by and between:

RECITALS

WHEREAS, Owner desires to have a shed delivered, installed and finished at the property located at (the "Property"); and

WHEREAS, Contractor is engaged in the business of supplying, delivering and installing prefabricated and custom storage structures and represents that Contractor has the expertise, labor, materials and licenses necessary to perform such work; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will supply and install the shed described below.

SCOPE OF WORK

Contractor shall provide all labor, materials, equipment and supervision necessary to complete the work described in this Agreement. The general description of the shed and related services is set forth below; the detailed obligations and specifications shall be as described in the Scope of Work field.

Late Payment: Any amount not paid when due shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law and shall be subject to a late fee of $ plus interest.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice. Upon termination for cause, the non-breaching party shall be entitled to recover costs and damages as permitted by law.

Owner may terminate this Agreement without cause upon providing days written notice and payment to Contractor for work performed and materials delivered up to the termination date plus reasonable demobilization costs.

CONFIDENTIALITY

Each party shall maintain in strict confidence all proprietary, technical and business information disclosed by the other party that is designated as confidential or that by its nature should reasonably be considered confidential ("Confidential Information"). Confidential Information shall not include information that is publicly available through no fault of the receiving party or that is rightfully obtained from a third party without restriction. The receiving party shall use Confidential Information solely for purposes of performing under this Agreement and shall not disclose it to third parties except to employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

INSURANCE, LICENSES AND PERMITS

Contractor shall maintain, at Contractor's expense, general liability and workers' compensation insurance in amounts customary for the industry and sufficient to cover liabilities arising from the performance of the work. Contractor shall obtain and maintain all licenses and permits required by applicable law for the performance of the work and shall comply with all codes and regulations.

WARRANTY

Contractor warrants that materials furnished under this Agreement shall be new unless otherwise specified, and that the workmanship shall be of good quality and free from material defects for a period of months from final completion. Warranty remedies shall be limited to repair or replacement of defective work at Contractor's option, except where otherwise required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Venue for any action arising out of this Agreement shall be in the state or federal courts located in the county where the Property is located.

ENTIRE AGREEMENT

This Agreement, including any attachments and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Relationship of Parties: Contractor is an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership or joint venture between the parties.

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Contractor may assign to an affiliated company or in connection with a sale of substantially all of Contractor's assets.
