SHERMAN CANAL APPROVAL AGREEMENT

WHEREAS

WHEREAS, the Approving Authority is charged with regulating use and modifications to drainage and canal facilities within its jurisdiction, including the Sherman Canal (the "Canal"); and

SCOPE OF WORK

The Applicant shall perform the work described below in accordance with the conditions of this Agreement and any plans approved in writing by the Approving Authority.

PAYMENT TERMS

The Applicant shall pay fees and costs associated with review, inspection, and any mitigation or restoration obligations as set forth in this section.

Late payment shall accrue interest at the lesser of (a) per month or (b) the maximum rate permitted by law. The Applicant shall also be responsible for collection costs and reasonable attorney's fees incurred by the Approving Authority in enforcing payment.

TERM AND TERMINATION

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Agreement, shall expire on the End Date.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice specifying the breach. The Approving Authority may suspend approved work immediately if the Applicant's actions pose a threat to public safety, navigation, flood control, or water conveyance; such suspension shall be followed by written notice and opportunity to cure as soon as practicable.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means nonpublic technical, financial, or proprietary information disclosed in writing and marked as confidential, or, if disclosed orally, identified as confidential at the time of disclosure and confirmed in writing within 10 days. The Approving Authority and Applicant shall not disclose Confidential Information to third parties except to their officers, employees, consultants, contractors, or legal advisors who have a need to know and are bound to maintain confidentiality. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) is already lawfully in the receiving party's possession; (c) is independently developed without reference to Confidential Information; or (d) is required to be disclosed by law or regulation, provided the disclosing party is given prompt notice to seek protective relief.

COMPLIANCE, INSPECTION & INSURANCE

The Applicant shall obtain all permits, approvals, and authorizations required by federal, state, and local law prior to commencing work. The Approving Authority retains the right to inspect work during reasonable hours and to require corrective action where work deviates from approved plans or threatens Canal functions.

Insurance: The Applicant shall, at its expense, maintain general liability and, where applicable, marine liability insurance with limits no less than per occurrence and shall name the Approving Authority as an additional insured where required. The Applicant shall provide certificates of insurance prior to start of work and upon renewal.

INDEMNIFICATION

The Applicant shall indemnify, defend, and hold harmless the Approving Authority, its officers, employees, agents, and contractors from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorney's fees) arising out of or resulting from the Applicant's performance of the work, except to the extent caused by the sole negligence or willful misconduct of the Approving Authority.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits, plans, and written approvals incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, agreements, and understandings, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and addressed to the parties at the addresses set forth below (or to such other address that a party may specify in writing).

ADDITIONAL PROVISIONS

a) Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

b) Assignment: The Applicant shall not assign this Agreement or any rights hereunder without the prior written consent of the Approving Authority, which consent shall not be unreasonably withheld.

c) Enforcement Costs: The prevailing party in any enforcement action arising from this Agreement shall be entitled to recover reasonable attorneys' fees and costs.
