RECITALS

WHEREAS, the parties desire to document the terms under which the Vendor authorizes the Client to ship back, return, repair, or replace the goods described herein and to set forth allocation of shipping costs, liability, and the scope of work to be performed in connection with the shipback;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

PAYMENT TERMS

The Client agrees to pay the Vendor the amounts set forth below in consideration for authorized shipback services and any related repairs or replacements. Unless otherwise stated, prices are in the parties' agreed currency and are exclusive of taxes and duties.

TERM AND TERMINATION

This Authorization becomes effective on Start Date: and, unless earlier terminated in accordance with this Agreement, will expire on End Date: .

Either party may terminate this Authorization for material breach by the other party following written notice and a reasonable opportunity to cure within the notice period above. Termination does not relieve the Client of liability for charges incurred prior to termination or for shipping costs for goods already en route.

CONFIDENTIALITY

Each party shall keep confidential all non-public information and materials provided in connection with this Authorization, including technical specifications, test results, and commercial terms ("Confidential Information"). Confidential Information shall not include information that (i) is or becomes publicly available without breach of this Authorization; (ii) was rightfully known to the receiving party prior to disclosure; or (iii) is independently developed by the receiving party. Confidential Information shall be used solely for the purposes of performing obligations under this Authorization and shall be returned or destroyed upon written request by the disclosing party.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, special, or punitive damages arising out of this Authorization. The parties' aggregate liability for breach of this Authorization shall be limited to direct damages not to exceed the total payments received by the Vendor under this Authorization with respect to the subject goods.

GOVERNING LAW

This Authorization shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of courts located in that state for disputes arising under this Authorization.

ENTIRE AGREEMENT

This document, together with any attachments or referenced schedules, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment to this Authorization shall be effective unless in writing and signed by authorized representatives of both parties.
