Either party may terminate this Order for material breach if the breaching party fails to cure within days after written notice. Termination does not relieve the parties of obligations accrued prior to termination.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed in connection with this Order and shall not disclose such information to third parties except to employees, agents or subcontractors who have a need to know and are bound to confidentiality obligations. Confidential information does not include information that (i) is or becomes generally available to the public through no fault of the receiving party, (ii) is already known by the receiving party without restriction, or (iii) is required to be disclosed by law, provided the disclosing party is given prompt notice.

LIMITATION OF LIABILITY & INDEMNITY

Carrier's liability for loss or damage to Goods shall be limited to the actual invoice value of the lost or damaged Goods or the declared value if greater and accepted by Carrier in writing. Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental or consequential damages. Each party shall indemnify and hold the other harmless from claims arising out of its negligence or willful misconduct in the performance of this Order.

GOVERNING LAW

This Order shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Order, together with any schedules, attachments and referenced documents, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral.
