WHEREAS

WHEREAS, Shipper/Client engages Carrier to transport the shipment(s) described in this Shipping Carrier Confirmation (the "Shipment") from the pickup location to the destination in accordance with the terms set forth herein; and

WHEREAS, Carrier represents and warrants that it possesses and will maintain all necessary operating authority, licenses, permits and liability and cargo insurance required by applicable law and will comply with applicable safety and transportation regulations in performing the services; and

WHEREAS, the parties desire to document the scope, payment terms, liability limits, insurance and other commercial terms governing the transportation of the Shipment.

Either party may terminate this Confirmation for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination for cause may be immediate for material breach that remains uncured after written notice and a commercially reasonable cure period.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any non-public business information, trade secrets, pricing, customer information or other confidential information obtained in connection with this Confirmation, except as required by law or as necessary to perform the services. Confidentiality obligations shall survive for years following termination.

CARRIER REPRESENTATIONS AND CERTIFICATIONS

The Carrier certifies, represents and warrants that it: (a) holds valid and subsisting operating authority to provide the services described herein; (b) maintains required liability and cargo insurance in the amounts required by law and as set forth above; (c) will comply with applicable laws and regulations governing the transport of the Shipment; and (d) is authorized to accept and transport the described goods.

CLAIMS & PROOF OF DELIVERY

Proof of Delivery (POD) shall be provided to Shipper/Client upon delivery. Claims for loss or damage to the Shipment must be submitted in writing to Carrier within days of delivery; failure to timely notify Carrier shall be a bar to recovery to the extent permitted by law.

GOVERNING LAW

This Confirmation shall be governed by and construed in accordance with the laws of the state specified by Shipper/Client without regard to its conflicts of law principles. Any action arising out of or relating to this Confirmation shall be brought in the competent courts located in that state.

ENTIRE AGREEMENT

This Shipping Carrier Confirmation, together with any referenced attachments, bills of lading or rate confirmations, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations or agreements, whether written or oral.

MISCELLANEOUS

If any provision of this Confirmation is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its duties under this Confirmation without the prior written consent of the other party, except that Carrier may subcontract portions of the carriage to third-party carriers consistent with applicable law.
