What a Shipping Contract Is and when it applies

A Shipping Contract is a written agreement that sets the terms for transporting goods between a shipper and a carrier or freight forwarder. It defines responsibilities for pickup, delivery, freight charges, liability for loss or damage, insurance requirements, routing instructions, transit times, and who pays duties and tariffs. Shipping Contracts may be standalone bills of lading, carriage contracts, or appended as terms on purchase orders and invoices. Clear, complete Shipping Contracts reduce disputes and establish the legal basis for claims, insurance recovery, and enforcement in domestic and interstate commerce.

Why a clear Shipping Contract matters

A professional Shipping Contract allocates risk, sets payment and liability rules, and documents carrier obligations for pickup, transit, and delivery. Well-drafted terms reduce ambiguity in freight disputes and insurance claims.

Why a clear Shipping Contract matters

Who typically completes or signs a Shipping Contract

Authorized signers are individuals with delegated contracting authority from their company; signatures bind the named legal entity to the contract terms.

  • Shippers and exporters — prepare contract terms, commodity details, value, and pickup instructions.
  • Carriers and truckers — confirm ability to carry, declare liability limits, and accept routing.
  • Freight brokers/forwarders — arrange third-party carriers and coordinate customs and insurance.

Core elements to include in a professional Shipping Contract

Include clear commercial, operational, and liability terms so all parties understand obligations from pickup through delivery.

Parties

Full legal names and business entity types for shipper, carrier, consignee, and any intermediary; include contact and billing details for each party.

Goods Description

Detailed commodity description, quantity, weight, dimensions, packaging details, and any hazardous material classification to comply with transportation rules.

Freight Terms

Payment terms (prepaid/collect/COD), agreed rates, tariff references, fuel surcharges, and party responsible for duties and taxes.

Liability & Limits

Carrier liability limits, claims notice windows, indemnity clauses, and insurance obligations including minimum coverage amounts and certificate requirements.

Routing & Delivery

Authorized routes, transshipment permissions, delivery windows, permitted carriers, and procedures for rerouting or detention.

Governing Law

Choice of law, dispute resolution mechanism, forum selection, and applicable statutes or international rules (e.g., Carmack Amendment for U.S. interstate rail/road).

Required data fields commonly found on shipping agreements

Shipper Name: Full legal name
Consignee Name: Full legal name

Step-by-step: completing and executing a Shipping Contract

Follow these sequential steps to prepare, verify, and finalize a Shipping Contract for domestic or interstate shipments.

  • 01
Prepare the draft: Populate all party and goods fields accurately.

Confirm carrier terms: Verify carrier capacity, rates, and service commitments.
  • 03
Add insurance: Confirm required coverage and attach certificate.
  • 04

How to set up a digital Shipping Contract workflow

Configure a repeatable online workflow so contracts move automatically between shippers, carriers, and consignees.

Field Configuration
Signature Field Place for each party; require date
Conditional Fields Show insurance fields when declared value exceeds threshold
Routing Order Set signer sequence: shipper → carrier → consignee
Notifications Email/SMS alerts on assignment and completion

Where to send and how submissions are processed

Specify routing for executed contracts and the channels used for submission and recordkeeping.

  • Send to Carrier: Email or upload to carrier portal
  • Share with Broker: Provide signed copy for booking
  • Provide to Insurer: Attach policy or certificate
  • File for Records: Store executed PDF in contract repository

Digital signing and platform considerations

Verify the vendor supports ESIGN/UETA compliance, optional HIPAA BAA if handling PHI, and audit trails capturing IP, timestamp, and signer attribution.

  • File formats: PDF, DOCX, XLSX
  • Integrations: ERP/CRM connectors available
  • Security: TLS in transit; AES-256 at rest

Typical timelines and deadlines in shipping contracts

Common date-driven obligations in Shipping Contracts influence liability, claims windows, and payment timing.

Pickup appointment:

Specified pickup date/time window

Estimated delivery:

Expected delivery date for carrier performance

Claims notice:

Short windows (often 7–14 days) to notify carrier of visible damage

Claim filing:

Formal claim deadlines (commonly 9 months for many carriers)

Payment due:

Freight payment terms, e.g., net 30

Common preparation errors to avoid

  • Incomplete commodity descriptions — vague or missing HS codes delay customs clearance and increase claim disputes.
  • Mismatched party names — corporate name inconsistencies can prevent insurers and carriers from honoring claims.
  • Missing declared value or insurance — failing to specify value can limit recovery to low statutory liability caps.
  • Unclear routing or delivery instructions — ambiguous routing permits rerouting costs, detention, and demurrage disputes.

Penalties and commercial risks of incorrect Shipping Contracts

Lost recovery: Reduced or denied insurance recovery
Customs fines: Penalties for incorrect declarations
Detention charges: Carrier demurrage and storage fees
Contract disputes: Costly litigation or arbitration
Payment disputes: Withheld payments or chargebacks
Regulatory noncompliance: Civil fines for hazardous misdeclaration
