WHEREAS, Requester requires packaging and shipping materials, including but not limited to boxes, cushioning, pallets, and labeling materials, to prepare and ship goods in accordance with its operational needs; and

WHEREAS, Supplier is engaged in the supply and delivery of packaging and shipping materials and represents that it has the capacity and expertise to provide such materials in accordance with the terms set forth in this form; and

NOW, THEREFORE, Requester submits this Shipping Materials Request and Supplier agrees to provide materials subject to the terms, specifications and conditions below.

SCOPE OF WORK

Supplier shall procure, package and deliver the materials specified above in accordance with the quantities, packaging specifications and delivery schedule set forth in this request. Supplier will provide such materials consistent with commercial best practices, applicable safety standards, and any item-specific handling requirements disclosed by Requester.

PAYMENT TERMS

The Requester agrees to pay Supplier for delivered materials in accordance with the agreed pricing and the schedule specified below. Invoices will reference the Requester purchase order number where provided.

TERM AND TERMINATION

This Request is effective as of the Start Date below and continues until the End Date below or until the obligations arising from accepted requests are fulfilled, unless earlier terminated per the terms below.

Either party may terminate this Request for material breach if the breaching party fails to cure within the notice period specified above. Termination does not relieve Requester of payment for materials accepted and delivered prior to termination.

CONFIDENTIALITY

Each party shall maintain in confidence any non-public, proprietary or business confidential information disclosed in connection with this Request and shall not disclose such information to third parties except to employees and contractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination of this Request for a period of three years.

INDEMNITY & LIMITATION OF LIABILITY

Supplier shall indemnify and hold Requester harmless from claims directly resulting from Supplier's negligent performance in supplying materials. Except for willful misconduct or gross negligence, neither party shall be liable for consequential, incidental or punitive damages. Supplier's aggregate liability for claims arising from this Request shall not exceed the amounts paid by Requester to Supplier for the specific materials at issue.

GOVERNING LAW

This Request shall be governed by and construed in accordance with the laws of the state indicated below, without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Shipping Materials Request, together with any accepted order confirmation signed by Supplier, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and understandings. Any modification must be in writing and signed by authorized representatives of both parties.
