Either party may terminate this Shipping Order for material breach following written notice and a cure period of days. Termination does not relieve either party of obligations accrued prior to termination, including payment, demurrage, and liability for loss or damage.

This Shipping Order shall be governed by and construed in accordance with the laws of the state or jurisdiction where Carrier maintains its principal place of business, without regard to conflict of law principles. Parties submit to the exclusive jurisdiction of courts in that jurisdiction for disputes arising under this Shipping Order.

ENTIRE AGREEMENT

This Shipping Order, including any attachments, schedules, and acknowledged rate confirmations, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral.
