Shipping Pallets Agreement

This Shipping Pallets Agreement (the Agreement) is entered into by and between the parties identified below as of the Effective Date.

WHEREAS, Supplier is engaged in the business of providing wooden and/or plastic pallets for use in shipping, handling and storage; and

WHEREAS, Client requires pallets for transporting Client's goods and desires to procure pallet services from Supplier under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to establish the scope, delivery, condition, payment and return obligations related to the pallets supplied hereunder.

Scope of Work

Supplier shall supply, deliver and, where applicable, retrieve shipping pallets in accordance with the terms below. Supplier's obligations shall include delivery scheduling, pallet inspection and documentation of pallet counts at time of delivery and return.

Supplier retains ownership of pallets and Client shall return pallets in substantially the same condition, ordinary wear and tear excepted.

Inspection, Acceptance and Liability

Client shall inspect pallets upon delivery and shall notify Supplier in writing of any shortages or visible defects within 48 hours. Absent timely notice, pallets shall be deemed accepted. Supplier is responsible for loss or damage to pallets prior to delivery; thereafter responsibility shall be governed by the ownership selection above and standard shipping terms.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to termination. Termination for material breach may be immediate if the breaching party fails to cure within 10 days after written notice, where cure is feasible.

Confidentiality

Each party shall maintain in confidence all nonpublic information disclosed by the other party in connection with this Agreement and shall not disclose such information except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth here. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party or that is rightfully received from a third party without restriction.

Indemnity and Insurance

Each party shall indemnify and hold harmless the other party from claims arising out of its negligence or willful misconduct in performing its obligations under this Agreement. Supplier shall maintain commercial general liability insurance and, if applicable, cargo insurance in amounts customary for the industry and shall provide certificates upon request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of: , without regard to conflict of law principles.

Entire Agreement

This Agreement, including any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations and warranties, written or oral.
