SCOPE OF WORK

Company shall receive, inspect, and, if applicable, repair or restock the returned goods in accordance with the Company's standard return procedures described below. Company obligations shall include logging receipt, assigning disposition (repair, replace, credit, or scrap), and notifying Returner of final disposition in writing or electronic communication within the timeframes set forth in this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the stated notice period following written notification. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party shall protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care. Confidential Information shall include return handling procedures, inspection reports, and any data exchanged under this Agreement. Confidentiality obligations survive termination for a period of three (3) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of: without regard to choice-of-law rules that would apply the laws of another jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any incorporated RMA instructions and shipping documentation, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

LIMITED LIABILITY; INDEMNITY

Company’s liability for loss or damage to returned goods shall be limited to the declared value specified on this label, except to the extent such loss or damage arises from Company’s gross negligence or willful misconduct. Returner shall indemnify and hold Company harmless from claims arising from Returner's failure to properly declare hazardous contents or to follow applicable shipping regulations.

All notices required under this Agreement shall be in writing and delivered to the addresses provided above or to such other address as a party may designate in writing. Notice is effective upon receipt.
