What a Shipping Shipper Agreement Is and When It’s Used

A Shipping Shipper Agreement is a contract between a shipper (the party arranging carriage) and a carrier or freight forwarder that documents shipment details, responsibilities, and terms for transporting goods. Typical elements include identification of parties, description of the cargo, pickup and delivery addresses, Incoterms or delivery terms, declared value and insurance, payment and billing terms, and liability or limitation clauses. The agreement sets expectations for handling, transit windows, claims procedures, and any special handling instructions for hazardous materials, refrigeration, or oversized freight.

Why a Clear Shipping Shipper Agreement Matters

A well-drafted Shipping Shipper Agreement reduces disputes, clarifies liability and costs, and speeds claims handling by documenting responsibilities and required documentation.

Why a Clear Shipping Shipper Agreement Matters

Typical Parties and Users of a Shipping Shipper Agreement

Organizations and individuals use shipper agreements to formalize carriage terms before goods leave origin.

  • Shippers and consignors who send goods domestically or internationally for sale or distribution.
  • Freight forwarders and third-party logistics providers arranging multi-leg transport and customs handling.
  • Carriers and trucking companies that need documented acceptance and limits of liability for each load.

The agreement provides a single reference for operations, billing, insurance and post-delivery claims.

Core Elements to Include in a Professional Agreement

Include clear, unambiguous clauses that define the shipment, responsibilities, and remedies so operations and legal teams can act consistently.

Full legal names and contact details for shipper, consignee, and carrier including legal entity type and registered address to establish who has authority and liability.

Description of Goods

Detailed commodity description, quantity, weight, dimensions, packaging type, and any hazardous classification (e.g., UN number) to ensure correct handling and regulatory compliance.

Pickup and Delivery

Exact pickup and delivery addresses, requested pickup date and delivery window, Incoterms or delivery terms specifying transfer of risk and which party arranges transport.

Payment and Charges

Freight rates, payer responsibility, accessorial charges, payment terms, and late payment remedies so billing can be reconciled without dispute.

Liability Limits

Carrier liability caps, declared value options, insurance requirements, and claims procedures including deadlines for notice and documentation.

Compliance and Documentation

Required documents (BOL, commercial invoice, packing list, hazardous paperwork), customs declarations, and any required permits or certificates.

Common Preparation Mistakes to Avoid

  • Using informal or abbreviated party names that mismatch billing and insurer records and cause disputes.
  • Failing to list hazardous goods details or missing required UN numbers and SDS, which can delay transit or trigger fines.
  • Leaving declared value blank and assuming carrier will accept unlimited liability; statutory caps may apply.
  • Not including exact delivery instructions or consignee contact, leading to failed deliveries and additional storage charges.

Risks and Consequences of an Incorrect Agreement

Claim Rejection: Missing evidence leads to denied claims
Financial Exposure: Statutory limits may reduce recovery
Regulatory Fines: Hazmat noncompliance can trigger penalties
Delayed Delivery: Incorrect instructions cause demurrage
Insurance Gaps: Undeclared value may void coverage
Contract Disputes: Ambiguity increases litigation risk
