Recitals

WHEREAS, Supplier is engaged in the business of manufacturing and selling packaging and shipping supplies and maintains the capacity and expertise to supply such items to Buyer; and

WHEREAS, Buyer desires to purchase specific shipping supplies from Supplier and Supplier agrees to supply such items under the terms and conditions set forth in this Order and Purchase Agreement (the "Agreement").

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows.

Scope of Work

Supplier shall furnish, package and deliver the shipping supplies described in the itemized Order Items section below to the Delivery Address specified above. Supplier shall perform all packaging, labeling, and palletization as required for safe shipment. Specific responsibilities, tolerances, and acceptance criteria are described below.

Payment Terms

Buyer shall pay Supplier the Total Amount Due in accordance with the schedule below. Unless otherwise agreed in writing, Buyer shall pay a deposit equal to the Deposit Amount upon execution of this Order and the remaining balance within the Payment Period following delivery and issuance of an invoice. All payments must be in cleared funds to Supplier's nominated account and are subject to the agreed invoice terms.

Term and Termination

This Agreement commences on the Start Date specified below and remains in effect until the End Date or until all obligations hereunder have been satisfied, unless earlier terminated in accordance with this section. Either party may terminate for material breach that remains uncured for the Notice Period following written notice. Termination does not relieve Buyer of payment obligations for goods delivered and accepted prior to termination.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may receive confidential or proprietary information of the other party. Each party agrees to keep such information confidential, not to use it except for performance under this Agreement, and not to disclose it to any third party except as required by law. Confidentiality obligations shall continue for a period of three (3) years after termination or expiration of this Agreement.

Delivery, Inspection and Acceptance

Delivery terms shall be FOB Buyer's delivery location unless otherwise agreed. Buyer shall inspect delivered goods within a reasonable period and shall notify Supplier in writing of any nonconformity or shortage within the Acceptance Period. Supplier shall, at its option, replace nonconforming goods or refund the monies paid for such goods. Buyer waives claims for defects not reported within the Acceptance Period.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles. The parties shall attempt in good faith to resolve disputes amicably prior to commencing litigation.

Entire Agreement

This Order, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between Buyer and Supplier with respect to the subject matter and supersedes all prior or contemporaneous communications and proposals, whether oral or written. No modification shall be binding unless executed in writing and signed by authorized representatives of both parties.

By signing below, the parties acknowledge that they are authorized to bind their respective organizations, accept the terms of this Order and Agreement, and authorize Supplier to proceed with procurement and delivery of the supplies described herein.
