SHOW UNIT RENTAL AGREEMENT

This Show Unit Rental Agreement ("Agreement") is made effective as of Effective Date: between Owner Name: (the "Owner") and Licensee Name: (the "Licensee"). Owner and Licensee are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Owner is the legal owner or authorized manager of the residential unit located at Unit Address: (the "Unit"); and

WHEREAS, Licensee desires to occupy and use the Unit on a short-term basis for the purpose of staging, furnishing, and facilitating showings to prospective purchasers or tenants, and Owner is willing to grant such use subject to the terms and conditions set forth herein; and

WHEREAS, the Parties intend that the Unit be used only for marketing, staging and showings and not as a permanent residence, except as expressly permitted in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. TERM

1.1 Commencement and Expiration. The term of this Agreement shall commence on Commencement Date: and shall expire on Expiration Date: unless earlier terminated in accordance with Section 9 below.

2. LICENSED USE; ACCESS

2.1 Permitted Use. Owner grants to Licensee a non-exclusive license to occupy the Unit solely for staging, furnishing, and conducting showings to prospective purchasers or tenants, and for no other purpose. Residential habitation beyond incidental overnight occupancy for bona fide visitors is expressly prohibited unless previously agreed in writing.

2.2 Access for Showings. Licensee shall permit Owner, Owner's agents, and prospective purchasers or tenants reasonable access to the Unit for showings during normal business hours and other reasonable times upon notice. Licensee shall coordinate showings so as not to unreasonably interfere with scheduled marketing activities.

3. RENT AND SECURITY

3.1 Rent. Licensee shall pay to Owner rent in the amount of $ per month, payable in advance on the first day of each month, with the first payment due on First Payment Date: .

3.2 Security Deposit. Upon execution of this Agreement, Licensee shall deliver a security deposit in the amount of $ to secure performance of its obligations. Owner may apply the deposit to cure defaults, repair damage beyond ordinary wear and to compensate for unpaid rent; any balance shall be returned to Licensee within thirty (30) days after termination, together with an itemized statement of deductions.

4. INVENTORY, CONDITION AND ALTERATIONS

4.1 Inventory and Condition Report. Licensee shall prepare and deliver to Owner an Inventory and Condition Report describing all furnishings, décor and any items placed in the Unit for staging purposes. The Parties acknowledge receipt of the report and shall initial or sign the report at move-in and move-out. Inventory and Condition Report:

4.2 Alterations. Licensee shall not make structural alterations, paint, or materially change the Unit without Owner's prior written consent. Minor cosmetic changes for staging (non-structural, reversible) are permitted provided Licensee restores the Unit to its original condition at Licensee's expense upon expiration or earlier termination.

5. MAINTENANCE, REPAIRS AND UTILITIES

5.1 Maintenance. Licensee shall keep the Unit in clean and orderly condition and shall promptly notify Owner of any damage, defect or needed repair. Licensee shall be responsible for repairs necessitated by the negligence or intentional acts of Licensee or Licensee's invitees.

5.2 Utilities. Utilities shall be paid by: Owner Licensee. If Licensee is responsible, Licensee shall arrange accounts in Licensee's name and pay all charges when due.

6. INSURANCE; RISK OF LOSS; INDEMNITY

6.1 Insurance. Licensee shall maintain, at its sole cost and expense, commercial general liability insurance covering the Unit and staging operations with limits no less than $ per occurrence and property insurance covering Licensee's furnishings and staging items. Licensee shall provide Owner with certificates of insurance upon request.

6.2 Risk of Loss. Owner is not responsible for loss, theft or damage to staging property owned by Licensee. Licensee assumes the risk of loss to its personal property and shall promptly replace or repair items damaged during the term.

6.3 Indemnity. Licensee shall indemnify, defend and hold harmless Owner and its agents, employees and affiliates from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Licensee's use of the Unit, except to the extent caused by Owner's gross negligence or willful misconduct.

7. COMPLIANCE WITH LAWS; RULES

7.1 Laws. Licensee shall comply with all applicable laws, building rules, homeowners association covenants, and municipal ordinances in connection with its use of the Unit. Licensee shall not create or permit any nuisance, hazard or illegal activity on the premises.

7.2 Rules. Owner may establish reasonable rules for showings and staging (including security procedures) which shall be observed by Licensee and Licensee's employees, contractors and invitees.

8. DEFAULT; REMEDIES

8.1 Events of Default. Each of the following shall constitute an event of default by Licensee: (a) failure to pay rent or any other sum when due and not cured within five (5) days after written notice; (b) abandonment of the Unit; (c) failure to maintain required insurance; (d) substantial breach of any material covenant of this Agreement not cured within ten (10) days after written notice.

8.2 Remedies. Upon default, Owner may pursue any remedy available at law or in equity, including termination of this Agreement, recovery of unpaid rent, and costs of repair or restoration. Exercise of one remedy shall not preclude exercise of any other remedy.

9. TERMINATION

9.1 Termination for Convenience. Either Party may terminate this Agreement without cause upon thirty (30) days' prior written notice to the other Party. In the event of termination for convenience, Licensee shall vacate the Unit and restore it to its original condition, ordinary wear and tear excepted.

9.2 Immediate Termination. Owner may terminate this Agreement immediately for Licensee's material breach that jeopardizes the Unit, creates a hazard, or violates applicable law.

10. NOTICES

Notices shall be in writing and delivered by personal delivery, nationally recognized courier, or certified mail, return receipt requested, to the addresses provided above and shall be effective upon receipt.

11. MISCELLANEOUS

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

11.2 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

11.3 Amendments and Waiver. No amendment or waiver of any provision of this Agreement shall be effective unless in a writing signed by both Parties. No failure or delay in exercising any right shall operate as a waiver.

11.4 Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

11.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic image or facsimile shall be binding.
