What a Showrunner Services Agreement Covers

A Showrunner Services Agreement is a written contract that defines the relationship between a production entity and the showrunner hired to develop, produce, and manage a television series or serialized production. It typically sets out scope of services, creative and managerial duties, delivery milestones, compensation and payment schedules, credit and ownership of intellectual property, term and termination rights, confidentiality obligations, and dispute-resolution provisions. The agreement clarifies whether the showrunner is engaged as an employee, a statutory employee, or an independent contractor and addresses residuals, backend participation, and third-party clearances.

Why this Agreement Matters for Productions

A clear Showrunner Services Agreement reduces disputes about creative control, delivery deadlines, compensation, and ownership. It protects both the production company and the showrunner by setting expectations, allocating risks, and establishing remedies for breach or missed milestones.

Why this Agreement Matters for Productions

Who Typically Prepares and Signs This Agreement

Production companies, studio business affairs teams, showrunners, and entertainment attorneys are the primary parties involved in drafting, negotiating, and executing this contract.

  • Showrunners and their representatives who need clear credit, creative control, and compensation terms.
  • Producers and production companies who must define deliverables, deadlines, and rights ownership.
  • Studio or network business affairs and legal counsel who finalize legal, insurance, and distribution clauses.

These stakeholders collaborate to balance creative rights with commercial and scheduling constraints and to ensure compliance with applicable labor and tax rules.

Typical Signers and Decision Makers

Showrunner

A senior creative lead who manages writers, editors, and production decisions; signs to accept duties, compensation, credit, and delivery obligations and may warrant originality of underlying material.

Production Counsel

Legal representative for the production company or studio who negotiates ownership, indemnities, insurance, and termination rights and confirms the agreement aligns with union, tax, and financing conditions.

Core Clauses to Include in a Professional Agreement

A well-drafted Showrunner Services Agreement organizes rights, responsibilities, and remedies into discrete clauses so commercial, creative, and legal risks are allocated clearly between the parties.

Scope of Services

Define showrunner duties precisely (script approval, staff hiring, production supervision), deliverables (scripts, episode counts), and any exclusions to avoid later disputes over responsibilities.

Compensation

Specify fees, payment schedule, bonuses, backend participation, residuals, and withholding responsibilities, and indicate whether payments are advances, earned upon delivery, or contingent on financing.

Credits & Ownership

State credit placement, authorship attribution, and whether copyrights and derivative rights are assigned, licensed, or held in trust for the production entity.

Term & Termination

Set the contract period, renewal conditions, cure periods, grounds for termination for cause or convenience, and post-termination obligations such as handover duties.

Warranties & Indemnities

Include showrunner warranties of originality and clearances, indemnities for IP claims, limits on liability, and insurance requirements such as E&O coverage.

Confidentiality & Exclusivity

Define confidential materials, permissible disclosures, exclusivity during development or production, and carve-outs for prior commitments or pre-existing IP.

Step-by-Step: How to Complete the Agreement

Follow a clear sequence to reduce negotiation cycles and ensure the final agreement is enforceable and complete.

  • 01
Prepare Draft: Assemble existing templates and key business terms for initial drafting.
  • 02
Negotiate Terms: Discuss credit, compensation, and IP with counsel and the showrunner.
  • 03
Finalize Legal Clauses: Confirm warranties, indemnities, and insurance provisions with legal counsel.
  • 04
Execute & Distribute: Obtain signatures, deliver copies to stakeholders, and archive with retention metadata.

Online Workflow Settings to Configure

When using digital tools, configure fields and authentication to match the agreement's legal and operational needs.

Field Configuration
Signature Type Electronic signature or PKI-based digital signature
Authentication Email link, SMS code, or knowledge-based verification
Template Use Save core terms as a template for recurring productions

Typical eSigning and Routing Flow

A standard eSigning workflow centralizes document versioning and provides an auditable trail of actions.

  • Upload: Load the final contract to the signing platform.
  • Place Fields: Add signature, initials, and date fields where required.
  • Set Signers: Assign signer order and authentication method.
  • Execute: Signers complete signing and receive copies automatically.

Technical and Integration Considerations

Choose a platform that supports required authentication, audit trails, file formats, and integrations with existing systems.

  • File Formats: PDF, DOCX, and fillable forms supported
  • Integrations: Salesforce, NetSuite, Google Workspace integrations
  • Security: AES-256 at rest, TLS 1.2/1.3 in transit

Confirm the provider supports audit trails, optional PKI signatures if needed for non-repudiation, and retention exports to your records management system.

Common Legal and Commercial Risks

IP Misallocation: Loss of rights
Late Delivery: Termination risk
Unclear Credit: Reputational disputes

Frequent Errors to Avoid When Drafting

  • Leaving compensation terms vague or subject to future interpretation, which frequently leads to payment disputes and arbitration.
  • Failing to specify credit language precisely; informal promises about credit often become contentious during publicity and syndication.
  • Neglecting to address ownership of deliverables and derivative works, risking inadvertent transfer of valuable IP rights.
  • Omitting insurance and indemnity limits that expose the production company and showrunner to unallocated financial risk.

Illustrative Use Cases

Two brief scenarios show how the agreement supports different production models and delivery requirements.

Premium Cable Series

A seasoned showrunner signs to lead a 10-episode season

Independent Streaming Pilot

An independent creator licenses a pilot to a streaming service

  • Negotiated backend participation and IP carve-outs
  • The contract limits exclusivity during development, defines pilot-to-series options, and clarifies reversion of unsold rights.
