SHREDDING SERVICE AGREEMENT

RECITALS

WHEREAS, Client maintains certain confidential and/or sensitive documents and materials requiring secure destruction; and

WHEREAS, Service Provider is engaged in the business of providing document destruction and related chain-of-custody services and represents that it has the facilities, personnel, and procedures necessary to perform secure shredding in accordance with industry standards; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Service Provider will provide secure destruction services as described above, including chain-of-custody tracking, secure transport when applicable, and certificate of destruction upon completion. Client may request one-time or recurring services as set forth in the Service Schedule below.

Invoicing and Due Date: Service Provider will submit invoices to Client and payment is due within days of invoice date. Late payments shall accrue interest at the lesser of per month or the maximum permitted by law.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for cause may be effected immediately upon material breach that remains uncured for days after written notice.

CONFIDENTIALITY

Service Provider acknowledges that during performance of services it may receive or have access to confidential information. Service Provider agrees to maintain the confidentiality of such information, to use it only for purposes of performing this Agreement, and to prevent unauthorized disclosure. This obligation shall survive termination for a period of years from the date of disclosure.

DATA SECURITY AND DESTRUCTION STANDARDS

Service Provider shall comply with all applicable federal and state privacy laws and industry standards for secure destruction. Shredding shall render paper documents unreadable and electronic media shall be destroyed or rendered unrecoverable in accordance with accepted secure disposal practices. Service Provider will provide a certificate of destruction upon request for each completed service event.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other from third-party claims arising from its negligent acts or omissions in performance of this Agreement. Except for willful misconduct or gross negligence, neither party shall be liable for incidental, consequential or punitive damages; aggregate liability shall be limited to direct damages not to exceed the greater of the total fees paid under this Agreement in the preceding twelve months or $10,000.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties and supersedes all prior negotiations, proposals, representations, and agreements, whether written or oral, relating to the subject matter hereof.
