SIDE ARTIST AGREEMENT

This Side Artist Agreement ("Agreement") is made and entered into as of , by and between Engaging Party: (hereinafter "Engaging Party"), and Side Artist: (hereinafter "Side Artist"). Each of Engaging Party and Side Artist may be referred to herein as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Engaging Party is producing or presenting the project described as: (the "Project"); and

WHEREAS, Side Artist has particular skills, reputation and experience as a performing or recording artist and is willing to perform certain artistic contributions to the Project as a non-primary or supplemental artist on the terms set forth herein; and

WHEREAS, the Parties desire to set forth the terms under which Side Artist will provide such services without creating an employment relationship and subject to the limitations provided in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

1. ENGAGEMENT; SERVICES

1.1 Engagement. Engaging Party hereby engages Side Artist, and Side Artist accepts such engagement, to render the services described in Section 1.2 on the terms of this Agreement. Side Artist shall perform as an independent contractor and not as an employee, partner or agent of Engaging Party.

1.2 Services. Side Artist will provide the following services: . Services shall include rehearsal, live performance and/or recording contributions as required for the Project.

2. TERM; SCHEDULE

2.1 Term. The term of this Agreement shall commence on the Effective Date set forth above and shall continue until completion of the Services and any required deliverables, unless earlier terminated as provided in Section 13.

3. COMPENSATION; PAYMENT

3.1 Fee. In full consideration for the Services, Engaging Party shall pay Side Artist: (USD), plus any agreed expenses as provided in Section 4, or as otherwise set forth: .

4. EXPENSES

Engaging Party shall reimburse Side Artist for pre-approved reasonable expenses incurred in connection with the Services, subject to submission of receipts and prior written approval. Reimbursable expense maximum: . Payment for approved expenses shall be made within days of receipt.

5. CREDIT; PROMOTION

5.1 Credit. Engaging Party shall provide Side Artist with credit as follows: wherever principal credits are displayed, subject to reasonable production requirements.

5.2 Promotion. Either Party may use finished materials for promotional purposes, provided that use of Side Artist's name, likeness or biographical information shall be subject to Side Artist's prior written approval (which shall not be unreasonably withheld).

6. DELIVERY; ACCEPTANCE

6.1 Delivery. Side Artist shall deliver the agreed contributions in the form and by the dates set forth in the Schedule attached or described herein: .

6.2 Acceptance. Engaging Party shall have days following delivery to accept or reject deliverables for material nonconformity. If rejected, Side Artist shall have a reasonable opportunity to cure.

7. OWNERSHIP; LICENSE

7.1 Work Product. All original materials and recordings created by Side Artist specifically for the Project shall be deemed "Work Product." Unless otherwise agreed in writing, Side Artist grants Engaging Party a license to exploit the Work Product for the Project and related promotion, in perpetuity.

7.2 Moral Rights. To the maximum extent permitted by law, Side Artist hereby waives and agrees not to assert any moral rights, droit moral or similar rights with respect to the Work Product; provided, however, that Side Artist shall have approval rights for any derogatory uses.

8. REPRESENTATIONS; WARRANTIES

Each Party represents and warrants that it has full power and authority to enter into this Agreement and that its performance will not violate any other agreement or applicable law. Side Artist further represents that the Services and Work Product will be original and will not infringe the rights of any third party.

9. CONFIDENTIALITY

9.1 Confidential Information. Each Party shall hold in confidence and not disclose to any third party any non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans and unpublished materials.

9.2 Exceptions. Confidentiality obligations shall not apply to information that is or becomes public through no fault of the recipient, is rightfully received from a third party without restriction, or is independently developed by the recipient.

10. INDEMNIFICATION; LIMITATION OF LIABILITY

Side Artist shall indemnify, defend and hold harmless Engaging Party from and against any third-party claims arising out of Side Artist's breach of the representations in Section 8 or from Side Artist's willful misconduct. Except for liability for gross negligence, willful misconduct or infringement, neither Party shall be liable to the other for incidental, consequential or punitive damages.

11. INSURANCE

During the term of this Agreement, Side Artist shall maintain at its expense any insurance reasonably necessary for the performance of the Services, including general liability and, if applicable, workers' compensation and employer liability insurance.

12. TERMINATION

12.1 For Convenience. Either Party may terminate this Agreement for convenience upon days' prior written notice to the other Party.

12.2 For Cause. Either Party may terminate immediately for material breach that remains uncured for days after written notice specifying the breach.

13. EFFECTS OF TERMINATION

Upon termination, Engaging Party shall pay Side Artist for Services performed and approved expenses incurred through the effective date of termination, subject to any offsets for damages or unfulfilled obligations. Sections concerning ownership, confidentiality, indemnification and payment shall survive termination.

14. NOTICES

Notices shall be delivered by certified mail, overnight courier or email (with confirmation) to the contact addresses above, and shall be deemed given on the date of receipt.

15. ASSIGNMENT; BINDING EFFECT

Neither Party may assign this Agreement without the prior written consent of the other Party, except that Engaging Party may assign this Agreement in connection with a sale of substantially all of its assets or a transfer of the Project. This Agreement shall inure to the benefit of and be binding upon the Parties and their respective permitted successors and assigns.

16. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The Parties consent to exclusive jurisdiction and venue in the state and federal courts located in that State.

17. ENTIRE AGREEMENT; AMENDMENTS; WAIVER

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements. Any amendment or modification must be in writing and signed by authorized representatives of both Parties. Waiver of any breach shall not constitute a waiver of any other breach.

18. SEVERABILITY; COUNTERPARTS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

19. MISCELLANEOUS

Headings are for convenience only and shall not affect interpretation. The Parties acknowledge that they have had the opportunity to seek independent legal advice prior to executing this Agreement.
