What a Side Letter Mortgage Agreement Is and When It’s Used

A Side Letter Mortgage Agreement is a supplemental contract that records negotiated exceptions, clarifications, or additional covenants tied to an existing mortgage or loan agreement. It runs alongside the primary loan documents and typically addresses lender concessions, payment arrangements, subordination, collateral carve-outs, borrower waivers, confidentiality terms, or special servicing instructions. Although often confidential, a properly executed side letter can create binding contractual obligations between parties and affect priorities among creditors if its terms modify the legal relationships established by the mortgage and related security instruments.

Why a Side Letter Mortgage Agreement Matters

A side letter clarifies deal-specific exceptions that the main mortgage omits, reduces closing delays, memorializes lender-borrower understandings, and helps prevent disputes over priority, payment treatment, or permitted transfers.

Why a Side Letter Mortgage Agreement Matters

Common Parties Who Prepare or Sign a Side Letter Mortgage Agreement

Typical parties involved before, during, and after mortgage closings.

  • Commercial lenders and syndicates: Lead lenders or agent banks draft and approve side letters to document concessions and servicing instructions.
  • Borrowers and sponsors: Borrower entities request or accept side letters to secure bespoke terms that differ from the standard loan agreement.
  • Legal, title, and closing counsel: Attorneys and title companies review side letters for enforceability and consistency with recorded instruments.

Each signatory should confirm authority to bind the entity and coordinate delivery with closing packages.

Essential Elements to Include in a Professional Side Letter Mortgage Agreement

A well-drafted side letter is concise, tracks back to the principal loan documents, and includes clear operational details so it can be implemented and enforced without contradicting recorded instruments.

Parties

Identify each party by full legal name, entity type, and contact details; include borrower, lender(s), agent, and any guarantor(s).

Effective Date

State the effective date exactly and note whether it is simultaneous with the loan closing or a later agreed date tied to performance.

Relation to Mortgage

Explain how the side letter interacts with the mortgage and loan documents — whether it amends, supplements, or interprets specified provisions.

Payment & Forbearance

Document any modified payment schedules, temporary forbearance, fee waivers, or capitalization terms and the conditions triggering them.

Priority / Subordination

Clarify priority effects, subordination, or non-disturbance commitments and whether recording or consent is required for effectiveness.

Confidentiality and No Waiver

Include confidentiality obligations, non-waiver language for defaults, and dispute resolution or governing law provisions.
