RECITALS

WHEREAS, Contractor is engaged in the business of providing exterior siding installation and related construction services; and

WHEREAS, Client desires to obtain an estimate and, upon acceptance, to engage Contractor to perform the siding installation work at the Project Address subject to the terms herein; and

NOW, THEREFORE, Contractor and Client agree that this Estimate and the attached Scope shall govern the proposed work and payment terms until replaced by a formal contract or written change order authorized by both parties.

The Contractor shall provide labor, materials, equipment and supervision necessary to perform the siding installation described below. Specific inclusions, exclusions, and finish standards are set forth in the Scope of Work entry.

PAYMENT TERMS

Client agrees to pay Contractor the Total Amount set forth above in accordance with the schedule and conditions described below. All payments shall be made in lawful funds to the Contractor unless otherwise agreed in writing.

Late payments shall accrue interest at the rate of of the outstanding balance per month, or the maximum lawful rate, whichever is less. Client shall be responsible for reasonable collection costs and attorney fees if collection is necessary.

TERM, COMMENCEMENT, AND TERMINATION

Work under this Estimate is anticipated to commence on and to be substantially complete by , subject to change for weather, permits, material delays, or approved change orders.

Either party may terminate this Estimate for material breach if the breaching party fails to cure within days of written notice. Termination does not relieve Client of payment for work performed and materials ordered prior to termination.

CHANGES AND CHANGE ORDERS

Any modification to the Scope of Work shall be made only by written Change Order signed by both parties. Change Orders shall specify additional cost or credit, and any change to the schedule. Contractor is not required to perform work beyond the original Scope without an executed Change Order.

PERMITS, INSURANCE, AND WARRANTIES

Contractor shall maintain general liability insurance and worker's compensation as required by law while performing work. Client is responsible for obtaining any required permits unless otherwise agreed in writing. Proof of insurance and permit copies are available upon request.

Standard workmanship warranty: from substantial completion, unless a different warranty is specified in writing for certain materials.

CONFIDENTIALITY

Each party shall keep confidential the other's non-public business information disclosed in connection with this Estimate and shall not disclose such information except as required by law or to perform obligations under this Estimate. This obligation survives termination of the Estimate for a period of two (2) years.

LIABILITY AND INDEMNIFICATION

Contractor's liability for any claim arising out of or related to the work shall not exceed the total amounts paid by Client under this Estimate. Client shall indemnify and hold Contractor harmless from claims arising from Client-supplied materials or site conditions not disclosed prior to commencement.

GOVERNING LAW

This Estimate and any contract arising from acceptance shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Estimate constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and representations. No waiver, modification or amendment shall be effective unless in writing signed by both parties.

ESTIMATE VALIDITY AND ACCEPTANCE

This Estimate is valid for days from the Estimate Date unless earlier revoked in writing. Acceptance of this Estimate requires Contractor's signature or a signed work authorization acknowledging these terms.
