RECITALS

WHEREAS, the Client is the owner or authorized agent of the property located at the address set forth above and seeks to update, repair, or replace exterior siding and related components (the "Work"); and

WHEREAS, the Contractor represents that it is duly licensed, insured, and qualified to perform exterior siding installation and related services and has provided the Client with a proposed scope of work, estimates, and schedule; and

WHEREAS, the Client hereby requests the Contractor to commence the Work subject to the terms and conditions set forth in this Siding Update Request Agreement (the "Agreement").

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period set forth above. Upon termination, the Client shall pay the Contractor for all work performed, materials ordered, and reasonable demobilization costs up to the termination date.

CONFIDENTIALITY

The parties acknowledge that pricing, proprietary methods, and project-specific plans disclosed in connection with this request are confidential. Neither party shall disclose such confidential information to third parties except as required by law or with the other party's prior written consent. This obligation survives termination of the Agreement for a period of two years.

PERMITS, COMPLIANCE, AND INSURANCE

The Contractor shall maintain insurance customary for this type of work, including general liability and workers' compensation where required.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

Any amendment must be in writing and signed by both parties.

DISPUTE RESOLUTION

The parties agree to attempt to resolve disputes arising under this Agreement through good faith negotiation. If unresolved within thirty (30) days, disputes may be resolved by binding arbitration under the rules agreed to in writing by the parties or by litigation in a court of competent jurisdiction in the governing state.

NOTICES

All notices under this Agreement shall be in writing and delivered by personal delivery, nationally recognized overnight courier, or certified mail to the addresses provided above or to such other address as either party provides in writing.
