RECITALS

WHEREAS, Client requires certain professional services described herein and has authority to engage Service Provider for such scope of work; and

WHEREAS, Service Provider represents that it has the experience, personnel, and resources necessary to perform the services on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below. The parties acknowledge that any material change in the scope will require a written amendment signed by authorized representatives of both parties.

PAYMENT TERMS

Client shall pay Service Provider in accordance with the following compensation structure. All amounts are in lawful currency and exclude applicable taxes unless otherwise stated.

Invoices not paid within the period specified in the payment schedule shall bear interest at the rate specified in Late Payment above. Client shall also be responsible for reasonable collection costs, including attorney fees, incurred by Service Provider in collecting overdue amounts.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon providing the notice period set forth above. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice of the breach. Termination does not relieve Client of the obligation to pay for services performed and expenses incurred prior to termination.

CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by one party to the other in any form that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes business plans, financial information, client lists, technical data, know-how, and trade secrets.

Each recipient shall: (a) hold Confidential Information in strict confidence using at least the same degree of care that it uses to protect its own confidential information, but in no event less than reasonable care; (b) not disclose Confidential Information to any third party except as permitted herein; and (c) use Confidential Information solely to perform its obligations under this Agreement.

Confidentiality obligations shall not apply to information that: (i) is or becomes generally available to the public through no fault of the recipient; (ii) is rightfully received from a third party without breach of any obligation of confidentiality; (iii) is independently developed by the recipient without use of the discloser's Confidential Information; or (iv) is required to be disclosed by law, provided the recipient gives prompt written notice to the discloser to allow the discloser to seek protective relief.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or appendices hereto and any written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No waiver, amendment or modification of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier, to the addresses below or to such other address as a party may designate by notice in accordance with this section.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The parties agree that monetary damages may be inadequate to redress breaches of confidentiality and that injunctive relief may be appropriate in addition to any other remedies available at law or in equity.
