Term and Termination

Confidentiality

Each party shall maintain in confidence all non-public information disclosed in connection with this approval and shall not disclose such information except to its employees, agents, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. This obligation survives termination for a period of three (3) years.

Each party represents and warrants that it has full power and authority to enter into this approval, that the individual signing on its behalf is duly authorized to do so, and that the performance of its obligations will not violate applicable law or third-party agreements.

This agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement
