Recitals

WHEREAS, the Principal is engaged in business and requires certain persons to execute instruments, contracts, and other documents on its behalf in the ordinary course of business; and

WHEREAS, the Principal desires to designate the Authorized Representative to act with authority to bind the Principal as set forth in this Authorization and related agreement; and

WHEREAS, the Authorized Representative agrees to accept such designation upon the terms and conditions contained in this document.
