Signature Authorization Process

This Signature Authorization Process Agreement (the Agreement) is entered into by the parties identified below for the purpose of establishing and documenting the authorized signatories, approved signature methods, and operational controls applicable to execution of agreements, approvals, and instruments on behalf of the Authorizing Party.

Parties

Recitals

WHEREAS, the Authorizing Party requires a documented process establishing authorized individuals and permissible signature actions to ensure appropriate corporate or organizational controls and to reduce risk of unauthorized commitments; and

WHEREAS, the Service Provider will rely on the representations and procedures set forth in this Agreement when accepting instruments, approvals, or other documents purportedly executed by the Authorizing Party; and

WHEREAS, the parties desire to set forth the Scope of Work, payment terms, termination rights, confidentiality obligations, and governing law applicable to actions authorized under this process.

Scope of Work

The Service Provider shall perform the services described above and shall accept for execution or reliance only those instruments and approvals executed in accordance with the authorization controls herein.

Payment Terms

Invoices shall be submitted in accordance with the schedule above. Payment is due within days of receipt of a correctly rendered invoice.

Late fees shall accrue at the rate specified above (expressed as a percentage per month) on any unpaid balance after the payment due date until paid in full. Acceptance of late payment shall not constitute a waiver of the right to timely performance.

Term and Termination

This Agreement shall commence on and shall continue in effect until unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate for material breach if the breaching party fails to cure within 15 days following written notice specifying the breach.

Confidentiality

Each party acknowledges that, in the course of performance, it may receive confidential or proprietary information of the other party. Each party agrees to hold such information in confidence, to use it solely for performance under this Agreement, and to disclose it only to those employees, agents, or consultants with a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein. The foregoing obligations shall not apply to information that is publicly available without breach, independently developed, or rightfully received from a third party without restriction.

Authorization Controls and Procedures

The Authorizing Party designates the following categories of action and the authorized signatory levels required to effect each action. The Service Provider may rely on signatures that conform to the levels and specimen signatures provided in this Agreement.

Authorized Signatories

The Authorizing Party certifies that the following individuals are authorized to act on its behalf in accordance with the categories selected above. The Service Provider may rely upon signatures matching the specimen forms below until such authority is revoked in writing.

Revocation and Amendment

The Authorizing Party may revoke or amend any authorization set forth in this Agreement only by delivering written notice signed by an authorized officer to the Service Provider. The Service Provider will have a reasonable period to implement revocation or amendment, but may continue to rely on previously authorized signatures for any actions taken in good faith prior to receipt and reasonable processing of the revocation.

Representations and Warranties

Each party represents and warrants that: (a) it has the full power and authority to enter into this Agreement; (b) the individuals identified as authorized signatories have the authority to bind the respective party as indicated; and (c) execution and performance of this Agreement do not violate any other agreement or law applicable to the party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified above, without regard to principles of conflicts of law.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, understandings and agreements. Any amendment to this Agreement must be in writing and signed by duly authorized representatives of both parties.

Miscellaneous Provisions

Assignment of rights under this Agreement is prohibited without the prior written consent of the non-assigning party. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing.

If any provision of this Agreement is determined to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.
