PAYMENT TERMS

The Recipient shall pay the Signatory for provision of signature confirmation and related services as set forth below.

Payments not received within the agreed schedule shall incur the late fee specified above, calculated on the outstanding balance from the payment due date until paid in full. The Recipient is responsible for all collection costs, including reasonable attorneys' fees, incurred to collect past-due amounts.

TERM AND TERMINATION

Either party may terminate this confirmation upon written notice in accordance with the notice period shown above if the other party materially breaches any obligation under this form and fails to cure such breach within fourteen (14) days after receipt of written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public information disclosed by the other party in connection with the subject instrument and this confirmation. Confidential information excludes information that (a) is or becomes publicly known other than through a breach of this provision; (b) was rightfully received from a third party without obligation of confidentiality; or (c) is required to be disclosed by applicable law, provided the disclosing party gives prompt notice to the other party and cooperates to seek protective measures. Breach of this Confidentiality clause shall entitle the non-breaching party to injunctive relief and recovery of damages.

GOVERNING LAW

This confirmation shall be governed by and construed in accordance with the laws of the jurisdiction named above, without regard to conflict of law principles. The parties consent to exclusive venue in the appropriate courts of that jurisdiction for any dispute arising under this confirmation.

ENTIRE AGREEMENT

This form, together with any attachments and the instrument to which it relates, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.
