SIGNATURE DOCUMENT TEMPLATE

This General Business Agreement (the "Agreement") is entered into as of by and between Client Name: , with address: ("Client"), and Service Provider Name: , with address: ("Service Provider").

WHEREAS

WHEREAS, Client desires to engage Service Provider to perform certain services described herein, and Service Provider has the skill, experience and ability to perform such services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the scope, compensation and confidentiality of the work to be performed.

WHEREAS, the parties intend that the terms of this Agreement be binding and enforceable and that any dispute be resolved in accordance with the provisions contained herein.

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below. Service Provider shall perform the services with due professional care in a timely manner and in accordance with industry standards.

Acceptance criteria: Client shall have days from delivery to review deliverables and provide written notice of deficiencies. Absent timely notice, deliverables shall be deemed accepted.

PAYMENT TERMS

Client shall pay Service Provider the Fees described below in consideration for the Services. All amounts are exclusive of taxes unless otherwise stated.

Late payments shall incur a late fee equal to the lesser of (a) per month on the overdue amount or (b) the maximum rate permitted by law. Client shall also be responsible for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the intended termination date. Either party may terminate for material breach if such breach remains uncured after thirty (30) days' written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all Services performed and expenses reasonably incurred through the date of termination, subject to any offsets for Client's proven damages resulting from Service Provider's breach.

CONFIDENTIALITY

Each party (the "Recipient") shall hold in strict confidence all non-public, proprietary or confidential information disclosed by the other party (the "Discloser") that is designated as confidential or that reasonably should be understood to be confidential (collectively, "Confidential Information"). Confidential Information expressly excludes information that: (a) is or becomes publicly known through no breach by Recipient; (b) is rightfully received from a third party without restriction; (c) is independently developed by Recipient without use of Discloser's Confidential Information; or (d) is required to be disclosed by law or valid legal process, provided Recipient gives prompt notice to Discloser to seek protective relief.

Recipient shall not use Confidential Information for any purpose other than performing its obligations under this Agreement and shall take reasonable measures to protect the confidentiality of such information. The obligations in this section shall survive termination for a period of three (3) years, except for trade secrets, for which confidentiality obligations shall survive as long as permitted by applicable law.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree to negotiate in good faith to resolve disputes and, if unresolved, to submit disputes to binding arbitration before a single arbitrator in the county of the Governing State unless otherwise agreed in writing.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Relationship of the Parties: Service Provider is an independent contractor and not an employee, agent or partner of Client. Service Provider shall be solely responsible for all taxes and employment obligations arising from its performance.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice. Notices shall be effective upon receipt.
