SIGNATURE ITEMS FORM

This Signature Items Form (the Agreement) is entered into by and between:

RECITALS

WHEREAS, Client desires that certain documents, instruments, certificates, deliverables and related materials identified herein be reviewed, signed, or otherwise processed on behalf of Client or coordinated for execution by designated signatories (Signature Items);

WHEREAS, Service Provider possesses the necessary expertise and administrative capacity to prepare, assemble, and coordinate execution of such Signature Items and to perform related services described in this Agreement; and

WHEREAS, the parties wish to set forth the scope, payment terms, confidentiality obligations, and other terms governing the preparation and execution of Signature Items.

SCOPE OF WORK

Service Provider shall perform the services described below, which may include preparing documents for signature, coordinating signer availability, managing delivery of executed originals, and retaining records of execution. Specific Signature Items are listed and itemized by the parties in the table below.

PAYMENT TERMS

Client shall pay Service Provider for the services performed in connection with the Signature Items as follows.

Service Provider may suspend performance if invoices are not paid within the time specified in the payment schedule, after providing written notice and a period to cure as set forth in Term and Termination below.

This Agreement shall commence on the Effective Date and continue until the completion of the Scope of Work or earlier termination as provided herein.

CONFIDENTIALITY

The parties acknowledge that during the course of performance each may receive or have access to Confidential Information of the other. "Confidential Information" includes nonpublic business information, personal data, financial terms, drafts of Signature Items prior to execution, and any information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each recipient shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to employees, agents, or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein, and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. These obligations survive termination for a period of three (3) years except for trade secrets, which shall remain protected for so long as they qualify as trade secrets.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state selected below, without regard to conflicts of law principles. The parties consent to the exclusive jurisdiction of state and federal courts located in that state for any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any appended schedules or addenda that are signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment or modification must be made in writing and signed by authorized representatives of both parties.

By signing below, each party certifies that it has the authority to enter into this Agreement, that the information provided on this form is complete and accurate to the best of its knowledge, and that it will comply with the terms set forth herein.
