AUTHENTICATION AND RECORDS

Each party shall maintain reasonable procedures to authenticate signatures and preserve records. Where electronic signatures are used, parties shall retain an auditable record that demonstrates (a) identity of the signer, (b) date and time of signing, (c) method used to capture the signature, and (d) integrity of the signed document. The absence of a particular technical measure shall not by itself render a signature invalid if other reliable indicia of authenticity exist.

As consideration for services rendered under this Agreement, Party B shall pay Party A the amount of $ (the Payment Amount) in accordance with the schedule set forth below.

Any payment not received within days after the due date shall accrue a late fee of % per month (or the maximum permitted by law, if less), calculated on the unpaid balance.

What the Signature Method Template Is and when it applies

The Signature Method Template defines how signatures and related authentication data are captured, recorded, and preserved for a specific transaction or agreement. It documents the signature type (wet-ink, electronic, digital PKI, or remote online notarization), signer identity proofing steps, authentication methods, and required metadata so that all parties understand the binding mechanism, execution timeline, and record-retention obligations applicable to the transaction.

Why a formal Signature Method Template matters

A clear template standardizes signer authentication, reduces disputes about signature validity, and documents compliance steps required by federal law and industry rules such as ESIGN, UETA, HIPAA, or 21 CFR Part 11.

Why a formal Signature Method Template matters

Who typically prepares or completes this template

Legal, operations, compliance, and contracting teams prepare or require the template; signers include authorized representatives and external counterparties.

  • In-house counsel and contract managers who must document signature authority and evidentiary controls for enforceability.
  • HR and recruiting teams gathering signed offer letters and employment forms that require identity verification and retention rules.
  • Real estate and closing agents coordinating notarization, witness requirements, and record transfers for property instruments.

Tailor signatory roles and authentication strength to industry risk, regulatory obligations, and counterparty expectations.

Core components every Signature Method Template should include

A robust template lists execution method, signer identity requirements, field-level instructions, witness/notary steps, audit-trail elements, and retention rules so each signature event produces admissible evidence.

Execution Method

Specify wet-ink, simple electronic, cryptographic digital signature (PKI), or remote online notarization and any permitted alternatives.

Identity Proofing

State required identity checks: government ID inspection, knowledge-based authentication, SMS or email OTP, or certificate-based verification.

Required Fields

List exact fillable fields (full legal name, role, date format, signer email) and which are mandatory versus optional.

Notary & Witness

Document whether a notary or witnesses are required, how many, and whether a RON session is acceptable.

Audit Trail

Define what metadata to retain: timestamp, IP address, device type, authentication method, and certificate chain where used.

Retention Rules

Include retention period, where signed records are stored, and how to produce copies on request.

Essential data fields the template must collect

Signer Name: Full legal name
Signer Email: Contact email
Execution Date: MM/DD/YYYY
Signature Type: eSign/wet/digital
Authentication: OTP/KBA/Certificate
Notary/Witness: Names and counts

Who is authorized to sign this template

Corporate Officer

An officer authorized under corporate bylaws or board resolution may sign on the company’s behalf; include title, delegation authority, and whether countersignature is required for financial thresholds.

Agent / Power of Attorney

A named agent with a valid durable power of attorney may sign if the POA document is attached or referenced and the agent’s authority to sign the specific document type is explicit.

Step-by-step: completing the Signature Method Template

Follow these sequential steps to define and execute the chosen signature method with clear evidence of identity and consent.

  • 01
Select Method: Choose wet, electronic, digital PKI, or RON.
  • 02
Set Authentication: Require email OTP, KBA, or certificate per risk.
  • 03
Place Fields: Add name, date, role, and initials fields.
  • 04
Capture Audit Trail: Ensure time, IP, and actions are recorded.

Configuring an online signing workflow for the template

Map each workflow field to the signing platform settings to ensure the execution path matches the template’s authentication rules.

Field Configuration
Signer Order Sequential or parallel routing
Authentication Email OTP, SMS, KBA, certificate
Reminders Auto-remind schedule
Archive Location Secure cloud or on-prem store

Where to send or file the completed template

Define destination and distribution steps so signed records are routed to all required parties and retained in the correct system.

  • To Signers: Email signed copy to all signers immediately.
  • To Legal: Send final executed PDF to legal repository.
  • To Records: Archive in document management system.
  • To Notary: Store notary certificate and recording link.

Digital signing and technical requirements

Specify platform capabilities needed to meet the template’s authentication, audit-trail, and storage requirements.

  • File Formats: PDF, DOCX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Security: TLS 1.2/1.3 and AES-256

Typical timelines and processing expectations

Include realistic time windows for signature requests, reminders, RON session scheduling, and archival so stakeholders know processing expectations.

Signature Window:

Allow 7–14 days for external signers to respond.

RON Scheduling:

Schedule audio‑video session within 3 business days.

Notary Record Retention:

Store RON audio-video per state rules (5–10 years).

Legal Review:

Allow 2–5 business days for internal counsel review.

Archival:

Move executed file to records within 24 hours.

Common mistakes to avoid when using the Signature Method Template

  • Using informal name variants instead of the signer’s legal name causes identity mismatches and potential invalidity.
  • Failing to specify authentication strength (OTP vs KBA vs certificate) creates ambiguity about evidentiary sufficiency.
  • Omitting witness or notary steps where state law requires them may render an instrument unenforceable.
  • Storing audit trails in separate systems without clear linkage to the signed document impedes later verification.

Potential penalties and legal risks

1099 Penalties: $60–$660+ per form
I-9 Violations: $281–$2,789 per violation
Contract Voidability: State law may void improper executions
HIPAA Breach: Civil penalties and corrective plans
Notary Defects: Invalid acknowledgements risk title issues
Intentional Disregard: Higher, uncapped tax penalties
