RECITALS

WHEREAS, Client desires to obtain certain professional services from Contractor and Contractor represents that it has the qualifications, experience and ability to provide the services described herein; and

WHEREAS, the parties intend that this Agreement set forth the terms and conditions on which the services will be performed and the manner of compensation for those services; and

WHEREAS, the parties agree that this Signature Page Template will be executed by authorized representatives of each party and will constitute a binding agreement upon execution.

SCOPE OF WORK

Contractor shall perform the services described below in a professional and workmanlike manner in accordance with industry standards. The parties acknowledge that the detailed scope may be supplemented by written task orders signed by both parties.

PAYMENT TERMS

As full compensation for satisfactory performance of the Services, Client shall pay Contractor as set forth below. All payments are due in U.S. dollars and are exclusive of taxes unless otherwise stated.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice.

CONFIDENTIALITY

Each party acknowledges that in performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in connection with this Agreement and designated as confidential or that reasonably should be understood to be confidential. Each party agrees to: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than a reasonable degree of care; (b) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations shall survive termination for a period of three (3) years, except for trade secrets, which shall survive for so long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties agree that the state and federal courts located in that State shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any schedules and task orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether oral or written. No amendment or waiver of any provision of this Agreement will be effective unless in a writing signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control.

Notices: All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth above or such other address as a party provides by notice in accordance with this Section.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
