Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for material breach may be immediate if the breaching party fails to cure within thirty (30) days after receipt of written notice of breach.

Confidentiality

Each party agrees that it will hold Confidential Information of the other party in strict confidence and will not disclose such information to any third party except to its employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those set forth herein. "Confidential Information" includes nonpublic business, technical, financial, and contractual information disclosed in connection with the Document and this request. Confidentiality obligations survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for so long as they qualify as trade secrets under applicable law.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising hereunder.

Entire Agreement

This document, together with any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, and agreements, whether written or oral. No modification of this Agreement will be effective unless in writing and signed by the authorized representatives of both parties.
