What the Signature Review Document Is and when it’s used

A Signature Review Document is a formal checklist and record used to verify that signatures on a contract, affidavit, or other legal record meet procedural and evidentiary standards. It documents signer identity, authentication method, date/time, witness or notary details, and any deviations from standard execution. Organizations use it to confirm enforceability, track chain of custody, and support dispute resolution by preserving the facts around how and when a signature was obtained.

Why a structured review improves legal certainty

A consistent Signature Review Document reduces ambiguity about signer intent, attribution, and authentication method, improving enforceability under ESIGN and applicable state law. It also creates a searchable record for audits, dispute response, and compliance checks without altering the underlying agreement.

Why a structured review improves legal certainty

Who typically completes and relies on this document

Teams that prepare, approve, or archive signed records should complete the Signature Review Document to confirm execution details before final filing.

  • Legal and compliance teams responsible for dossier integrity and dispute readiness.
  • Operations and contract administrators who route and file executed agreements.
  • Notaries and witnesses when notarization or attestation details must be recorded.

Use the review as a standard gate in contract workflows, HR onboarding, real estate closings, and any process where signature authenticity matters.

Core elements to include in a professional review

A complete Signature Review Document groups execution facts, signer identity evidence, authentication method, witness/notary details, document provenance, and exceptions or red flags that may affect enforceability.

Execution Data

Record the signature date and precise timestamp, page(s) signed, and version or file hash so the execution event maps to a single document instance.

Signer Identity

Note the identity evidence used (government ID, employer email, access control), the authentication strength, and any multi-factor steps applied at signing.

Authentication Method

Specify whether the signature was handwritten, scanned image, click-to-sign, SMS/OTP verified, KBA-verified, or PKI/digital-signed and note relevant credentials.

Notary/Witness Info

Capture witness names, positions, notary name, commission details, jurisdiction, and any remote online notarization session identifiers or recording references.

Audit Trail

Attach or reference the audit trail showing IP addresses, timestamps, signer actions, and chain-of-custody logs to support attribution.

Exceptions Log

Describe any discrepancies, corrections, or deviations from standard execution and any remedial steps taken or recommended.

Required fields to capture at a minimum

  • Legal: Receives exceptions and disputed items
  • Compliance: Monitors regulated execution requirements
  • Requestor: Confirmation copy for requester

Timing and deadlines to keep in mind

Certain documents trigger statutory deadlines, retention start dates, or expedited routing; capture these dates in the review to preserve legal rights and meet filing windows.

Consequences of incomplete or incorrect reviews

Tax Penalties: Failing to file correct 1099s can trigger IRC §6721 penalties
I-9 Violations: I-9 paperwork errors may carry $281–$2,789 per violation
HIPAA Exposure: Improper handling may breach 45 CFR rules
Notary Rejection: Missing notarization can delay recording or conveyance
Contract Disputes: Unverified signatures increase risk of unenforceability
Intent Questions: Lack of consent documentation undermines ESIGN/UETA defenses

Common mistakes to avoid when preparing the review

  • Recording only a signature image without linking that image to an audit trail or authentication record weakens attribution and evidentiary value.
  • Using inconsistent name formats across the agreement, review, and identity document leads to mismatches and possible withholding or re-execution.
  • Omitting notary or witness details, or failing to record a RON session ID and recording, can prevent acceptance by recorders or courts.
  • Failing to preserve the exact file hash or version allows content tampering claims and complicates chain-of-custody verification.
