What a Signed Purchase Agreement Is and When It Binds Parties

A Signed Purchase Agreement is a legally binding contract that records the terms of a sale between a buyer and a seller, specifying the item or property, price, payment terms, delivery or closing conditions, and any contingencies. It becomes enforceable when all required parties execute the document according to applicable law. In the United States electronic signatures are generally valid under the ESIGN Act and UETA; parties may execute agreements electronically or on paper, provided statutory exceptions are respected. This guide explains required fields, common errors, timelines, and secure e-sign workflows.

Why a Properly Executed Signed Purchase Agreement Matters

Using a Signed Purchase Agreement clarifies parties' obligations, reduces post-closing disputes, and documents conditions for payment and delivery. Properly executed agreements create enforceable rights and provide evidence for lenders, insurers, and courts. Electronic execution preserves a reproducible record when ESIGN/UETA requirements are met.

Why a Properly Executed Signed Purchase Agreement Matters

Who Prepares and Signs a Signed Purchase Agreement

Buyers, sellers, brokers, procurement officers, and legal counsel commonly prepare or sign Signed Purchase Agreements in commercial and personal transactions.

  • Real estate agents and buyers for property purchases and transfers of title.
  • Procurement teams completing equipment or supply purchases under company purchasing policies.
  • Legal and finance professionals reviewing terms, contingencies, escrow instructions, and closing conditions.

Ensure the document is executed by persons with authority and that all supporting exhibits and disclosures accompany the agreement.

Typical Signatories and Their Responsibilities

Buyer — Authorized Rep

The buyer’s authorized representative should verify the legal entity name, confirm payment terms and funding sources, review contingencies and inspection results, and sign the agreement as authorized. Incorrect buyer information can delay closing or trigger termination rights.

Seller — Authorized Rep

The seller’s authorized signatory must disclose title status, known defects, encumbrances, and any required disclosures, confirm delivery obligations, and sign. Omissions in seller representations can lead to indemnity claims or contract rescission.

Essential Data Fields to Include

Buyer Legal Name: Full legal entity name required
Seller Legal Name: Exact legal name as in ID
Property/Goods Description: Clear, specific description required
Purchase Price: Numeric amount with currency
Payment Terms: Due dates, methods, installments
Signatures: Signed and dated by authorized parties

Common Preparation Mistakes to Avoid

  • Using informal or ambiguous descriptions of goods that leave quantity, quality, or model unspecified, creating grounds for disputes at delivery or inspection.
  • Failing to verify signatory authority or using mismatched names between the signing block and identification, which can invalidate execution or delay enforcement.
  • Omitting contingency deadlines such as inspection periods, financing approval, or title cure; vague timelines often lead to missed termination windows.
  • Attaching inconsistent exhibits or failing to incorporate referenced schedules by reference, producing gaps between contractual expectations and enforceable obligations.

  • Improved routing and format consistency across teams.
  • This reduced manual rework, ensured signatures were captured in the correct order, and allowed the company to archive signed agreements centrally for compliance and audits.

Best Practices to Reduce Risk and Speed Execution

Practical tips to reduce risk, speed execution, and ensure enforceability of Signed Purchase Agreements in electronic workflows.

Verify signatory authority and attach corporate resolutions when needed
Confirm the signer has authority to bind the entity, attach certificates or corporate resolutions for corporate signatories, and document signing authority to avoid post-closing challenges to execution.
Use clear, specific descriptions and attach detailed exhibits
Provide unambiguous descriptions, item lists, serial numbers, and relevant exhibits; cross-reference appended schedules to ensure the agreement and exhibits create a single, enforceable agreement.
Document authentication and retain detailed audit trails
Capture authentication method, timestamps, IP addresses, and signer actions in the audit trail; preserve electronic evidence and store it with encryption and access controls for admissibility.
Confirm notarization and recording requirements before closing
Determine if a deed or other instrument must be notarized or recorded; if using remote notarization, confirm state-specific identity-proofing and retention requirements in advance.
