SIGNED RETAINER AGREEMENT

This Retainer Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Attorney/Firm Name: .

RECITALS

WHEREAS, Client desires to retain Attorney to provide legal services on the terms set forth herein; and

WHEREAS, Attorney is willing to perform such legal services subject to the terms, conditions, and limitations in this Agreement; and

WHEREAS, the parties intend to define their rights, obligations, and expectations in a written agreement.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. ENGAGEMENT

Attorney is retained to provide legal services as described in Section 2. Attorney accepts the engagement and agrees to provide legal services consistent with applicable professional rules of conduct and with reasonable care and diligence.

2. SCOPE OF SERVICES

Any services outside the scope described above will require a written amendment or separate engagement. Attorney may, with Client's consent, engage associates, paralegals, or contract counsel as necessary to perform services.

3. FEES AND BILLING

Client agrees to compensate Attorney as follows: Hourly Rate: per hour for attorney time and per hour for paralegal time, unless otherwise agreed in writing.

Statements will be rendered monthly and are due within days of receipt. Unpaid balances may accrue interest at the rate of .

4. RETAINER AND TRUST ACCOUNT

Client shall pay an initial retainer in the amount of to be deposited in Attorney's trust account. Retainer funds will be applied to fees and costs as earned or incurred. Client shall replenish the retainer upon request to maintain a minimum balance of .

5. COSTS AND EXPENSES

Client shall be responsible for all out-of-pocket costs and expenses incurred on Client's behalf, including but not limited to filing fees, court costs, process service, deposition costs, expert fees, travel expenses, photocopying, and courier charges. Attorney may require payment of costs in advance.

6. CLIENT COOPERATION

Client agrees to cooperate fully, provide truthful and complete information, execute documents as reasonably requested, attend meetings and hearings, and keep Attorney apprised of relevant developments. Failure to cooperate may result in termination of representation.

7. CONFLICTS AND WITHDRAWAL

Attorney represents that to the best of Attorney's knowledge no conflict of interest exists at the inception of this engagement. If a conflict arises, Attorney may withdraw in accordance with applicable professional rules and court orders. Attorney may withdraw for nonpayment of fees or other good cause upon reasonable notice to Client.

8. CONFIDENTIALITY

Attorney will maintain the confidentiality of information provided by Client to the extent required by law and professional obligations. Client authorizes Attorney to disclose confidential information where necessary to provide legal services or as required by law.

9. TERMINATION AND FILES

Either party may terminate this Agreement upon written notice. Client remains responsible for all fees and costs incurred prior to termination. Upon termination, Attorney may retain client files and records until outstanding fees and costs are paid. Attorney will retain and store closed files for a period of unless otherwise required by law.

10. DISPUTE RESOLUTION

The parties agree to attempt in good faith to resolve disputes arising under this Agreement by negotiation between designated representatives. If unresolved within 30 days, disputes shall be submitted to binding arbitration before a single neutral arbitrator in accordance with the rules mutually agreed upon by the parties. The arbitration shall take place in the county in which Attorney maintains its principal office unless the parties agree otherwise. The arbitration award may be entered in any court having jurisdiction.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice-of-law principles that would apply the laws of another jurisdiction.

12. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, together with any attachments or written modifications signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, representations, and agreements. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision achieving, to the extent possible, the original intent.

13. NOTICES

Notices shall be given in writing and shall be deemed delivered when received personally, sent by certified mail, return receipt requested, or sent by overnight courier to the addresses above, or to such other address as either party may designate in writing.

14. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. No waiver of any breach or default shall constitute a waiver of any subsequent breach or default. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
