What the Signed S&P Agreement Is and when it applies

A Signed S&P Agreement is a sale and purchase contract documenting terms between buyer and seller for a specific asset or parcel of real property, including price, payment schedule, contingencies, and closing obligations. It records parties, legal descriptions, financing conditions, inspection periods, and any title or escrow instructions, and it typically becomes the binding contract once executed by authorized signatories and, where required, notarized or witnessed under state law. Electronic signatures executed consistent with ESIGN and applicable state law create enforceable records in most U.S. transactions.

Why a properly executed Signed S&P Agreement matters

A clear, complete agreement protects contractual rights, allocates risks, and documents timelines for performance. Using an auditable, retained execution record supports enforceability under the ESIGN Act (15 U.S.C. ch. 96) and state UETA provisions, and reduces disputes over intent, dates, and signatory identity.

Why a properly executed Signed S&P Agreement matters

Who typically completes and relies on a Signed S&P Agreement

Several roles prepare, review, and sign S&P agreements; responsibilities vary by transaction scale and industry.

  • Real estate brokers and agents preparing contract forms and disclosures for buyers and sellers.
  • Buyers, sellers, and corporate legal teams negotiating price, contingencies, and closing conditions.
  • Title companies, escrow officers, and lenders who verify legal descriptions, title, and financing contingencies.

Understanding each participant’s role helps ensure correct authority and reduces execution delays.

Core sections every professional Signed S&P Agreement should include

A well-drafted S&P Agreement presents essential mechanics up front and places operational details in clear exhibits to avoid ambiguity. Keep sections consistent and reference attachments for schedules, payment terms, and closing deliverables.

Parties

Full legal names and entity types for buyer and seller; include authorized signer and contact details to confirm authority and service of notices.

Property

Complete legal description or asset ID, address, and any parcel numbers; attach plats or exhibits as needed to remove ambiguity in conveyance.

Purchase Price

State total consideration, payment schedule, earnest money details, and escrow instructions; specify currency and allocation of closing costs.

Contingencies

Inspection, financing, title, and survey contingencies with clear deadlines and cure periods to trigger termination or extension rights.

Closing Mechanics

Location, escrow agent or closing agent name, document delivery method, and required items at closing including deeds and payoff statements.

Governing Law

Designate governing state law for interpretation and dispute resolution; identify venue and any arbitration or waiver provisions.

Common timelines and deadlines to include in a Signed S&P Agreement

Title Objection Deadline:

Common mistakes made when preparing a Signed S&P Agreement

  • Using informal names or nicknames instead of exact legal entity names can invalidate authority and complicate closing steps.
  • Failing to attach referenced exhibits or schedules creates ambiguity about property boundaries, included chattels, or financing terms.
  • Overlooking state witness or notary requirements causes recording delays and may require re-execution of the agreement.
  • Neglecting to set clear contingency deadlines or cure mechanisms increases the risk of disputes and unintended terminations.

Consequences of errors or incomplete Signed S&P Agreements

Contract Voidability: Material defects can render agreement unenforceable
Delayed Closing: Missing documents may postpone transfer
Tax Reporting Errors: Incorrect data leads to IRS filing penalties
Withholding Liability: Failure to withhold may trigger penalties
HIPAA Exposure: Improper PHI handling risks regulatory fines
Notary Defect: Improper notarization may require re-execution
