SITE MODIFICATION AGREEMENT

This Site Modification Agreement (the Agreement) is made effective as of by and between Client Name: and Contractor Name: .

RECITALS

WHEREAS, Client operates and maintains an online presence (the Site) and desires certain modifications, improvements, or updates to be performed to the Site; and

WHEREAS, Contractor represents that it possesses the experience, skill and personnel necessary to provide the modification, design, development and implementation services described in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will perform the Site modifications and Client will compensate Contractor.

SCOPE OF WORK

Contractor shall perform the services and deliver the deliverables described below (collectively, the Services). The Services shall include any development, configuration, content updates, integrations, testing, and deployment necessary to implement the modifications specified by Client.

PAYMENT TERMS

In consideration for the full, timely and professional performance of the Services, Client shall pay Contractor fees as set forth below. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Client shall pay undisputed invoices within the number of days specified in the payment schedule. Disputed portions must be notified in writing and will be resolved in good faith. Taxes (if any) shall be the responsibility of the party required by applicable law.

TERM AND TERMINATION

Term: This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period set forth above. Termination for Convenience: Either party may terminate upon the delivery of the notice described above subject to Client’s obligation to pay for all Services performed and unpaid through the effective date of termination and any non-cancellable commitments.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including without limitation trade secrets, source code, technical designs, business plans and customer lists.

Obligations: Receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to those employees, contractors or agents with a need to know and who are bound by confidentiality obligations no less protective than those herein, and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exclusions: Confidential Information does not include information that is or becomes generally available to the public other than by a breach of this Agreement, independently developed by the receiving party without use of the disclosing party's Confidential Information, or rightfully obtained from a third party without restriction.

Remedies: The parties acknowledge that a breach of this Section would cause irreparable harm for which monetary damages would be an insufficient remedy, and agree that injunctive relief shall be an appropriate remedy in addition to any other remedies available at law or in equity.

CHANGE ORDERS

Any material change to the Scope of Work, schedule, or deliverables requested by Client shall be implemented only upon written change order signed by both parties. Change orders shall specify adjustments to price, schedule and any impact on deliverables.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflict of laws. The parties submit to the exclusive jurisdiction of the courts located in that state for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether oral or written. No amendment or modification of this Agreement will be binding unless in writing and signed by both parties.

MISCELLANEOUS

Independent Contractor: Contractor is an independent contractor and shall be solely responsible for payment of all compensation due to its employees and contractors and for withholding and paying all employment-related taxes. Limitation of Liability: Except for breaches of confidentiality or willful misconduct, neither party shall be liable for incidental, consequential, special or punitive damages. Indemnification: Each party agrees to indemnify, defend and hold harmless the other from and against third party claims arising from its negligence or willful misconduct in performance of this Agreement.
