NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree that Surveyor will perform the Site Survey and related services pursuant to the terms of this Site Survey Form and Agreement.

Termination Notice Period: days. Either party may terminate for material breach if uncured within the notice period; termination shall not relieve Client of payment for work performed through the effective termination date.

Confidentiality

All information identified as confidential by either party and all information reasonably understood to be confidential given the nature of the information and the circumstances of disclosure shall be held in strict confidence by the receiving party. Surveyor shall not disclose site observations, drawings, GPS logs, photographs or reports to third parties without Client's prior written consent, except as required by law or to perform the contracted services. Confidential materials remain the property of the disclosing party; copies furnished for review must be returned or certified destroyed upon request.

Governing Law; Liability

This Agreement shall be governed by and construed in accordance with the laws of the state identified below. Surveyor's liability for claims arising from performance of the services shall be limited to direct damages not to exceed the total fee paid for the services on this project; neither party shall be liable for consequential, incidental, or punitive damages except for willful misconduct or gross negligence.
