What a Site Work Agreement Covers

A Site Work Agreement is a written contract that defines responsibilities, deliverables, and site-specific conditions for construction or improvement work on a property. It identifies the parties, describes the scope of site preparation or construction services, sets schedule milestones, allocates risk through insurance and indemnity provisions, and establishes payment terms including retainage and progress payments. Typical attachments include project plans, permitting obligations, safety and access rules, and a change order process. The agreement clarifies who controls site access and which permits or inspections each party must obtain.

Why a Clear Site Work Agreement Matters

A clear Site Work Agreement reduces disputes by documenting scope, timelines, payment terms, and responsibilities. It supports regulatory compliance, clarifies insurance and indemnity obligations, and creates an enforceable record for project management, claims resolution, and financial tracking across subcontractors and owners.

Why a Clear Site Work Agreement Matters

Who Typically Prepares and Signs This Agreement

Typical users include the project owner, general contractors, subcontractors, and construction managers who oversee site work and compliance.

  • Owners and developers — contractually define scope, permits, and payment obligations for site work.
  • General contractors — coordinate subcontracts, confirm site access, and manage schedules and inspections.
  • Subcontractors and specialty trades — accept defined tasks, submit change orders, and document completion.

The document serves as a single reference for field crews, project managers, procurement, and legal teams during execution and closeout.

Essential Provisions to Include

Core provisions in a Site Work Agreement give clarity on responsibilities, schedule, payments, change management, safety, and insurance obligations for on-site activities.

Scope of Work

Provide a detailed description of tasks, deliverables, boundaries, and measurable acceptance criteria; reference drawings, materials, and workmanship standards to avoid ambiguity during execution, and attach the project plan as an exhibit.

Site Access & Safety

Specify site access windows, working hours, security protocols, PPE requirements, and safety reporting procedures; assign responsibility for barricades, signage, and compliance with OSHA and local ordinances.

Schedule & Milestones

Include start and completion dates, interim milestones, liquidated damages or delay allowances, dependencies, and procedures for extension requests tied to weather or permit delays to preserve rights and expectations.

Payment & Retainage

Define progress payment schedule, invoicing requirements, retainage percentage, retainage release conditions, acceptable lien waiver forms, and consequences for late payments or disputed invoices to protect cash flow.

Change Orders

Establish a written change order process with required approvals, cost and time adjustment formulas, documentation standards, and emergency work protocols to prevent unauthorized work and payment disputes.

Insurance & Indemnity

Specify required insurance types and limits, naming conventions for additional insureds, indemnity scope, waiver of subrogation, and certificate of insurance submission deadlines to reduce contractual exposure.

Step-by-Step: Completing a Site Work Agreement

Complete a Site Work Agreement in four practical steps: gather project details, draft scope and terms, confirm stakeholders, then sign and distribute executed copies.

  • 01
Gather Information: Collect permits, plans, insurance certificates, and contact details.
  • 02
Draft Scope: Describe tasks, deliverables, and acceptance criteria clearly.
  • 03
Confirm Terms: Agree schedule, payment, insurance, and change order procedures.
  • 04
Execute and Store: Sign, notarize if required, and distribute final copies.

Typical Digital Signing Workflow

Typical digital workflow for a Site Work Agreement moves from upload to signature and secure storage, with audit trails and optional advanced authentication.

  • Upload Document: Upload PDF or DOCX to the signing platform.
  • Place Fields: Add signature, date, and conditional fields as needed.
  • Send to Signers: Route via email or signing link with authentication.
  • Record & Archive: Save executed copy with audit trail and access controls.

Configuring the Digital Workflow

Configure digital signing workflow to match your approval sequence, add conditional fields for change orders, and select signer authentication levels appropriate for risk.

Field Configuration
Authentication Email link or SMS code; choose levels by risk.
Conditional Fields Turn on for change orders and optional scope items.
Template Save master copy named 'Site Work Agreement' for reuse.
Routing Order Set sequential routing: owner, GC, subcontractor, then archive.

Platform Capabilities to Consider

Ensure the signing platform supports common file formats, integrations, and mobile signing for on-site use.

  • File formats: PDF, DOCX, and native Word supported.
  • Integrations: Connectors for Procore, NetSuite, and Google Workspace.
  • Mobile access: Signing and offline capabilities for field use.

Key Dates and Billing Milestones

Key dates in a Site Work Agreement center on commencement, milestones, completion, and invoicing; align these to permit and inspection schedules.

Notice to Proceed:

Triggers mobilization and the project start date; requires written issuance.

Mobilization Date:

Date work begins on site, often within 7–21 days of NTP.

Interim Milestones:

Payment and inspection points tied to completed tasks or deliverables.

Substantial Completion:

When the site is usable for intended purpose; punch list follows.

Final Completion:

All work finished, releases issued, retainage released upon acceptance.

Milestone Sequence for Project Control

Sequential project milestones help teams monitor progress and trigger contractual rights, remedies, and payments during site work.

01

Pre-construction Approval

Obtain permits and owner approvals before mobilization.

02

Mobilization

Move equipment and install temporary protections on site.

03

Substantial Completion

Achieve agreed functionality allowing partial occupancy or use.

04

Final Closeout

Complete punch list, submit final billing and warranties.

Common Preparation Pitfalls to Avoid

  • Vague scope statements lead to differing interpretations of required work, causing change orders, disputes, and payment delays that escalate project costs and schedule conflicts.
  • Missing permit or inspection responsibilities shift regulatory risk; failure to obtain required permits can result in work stoppages, fines, or forced rework.
  • Unclear payment terms and retainage percentages create cash-flow disputes and increase the chance of mechanic liens or contractor nonperformance.
  • Absent or expired insurance certificates and unverified additional insured endorsements expose parties to uncovered liabilities during incidents on site.

Potential Consequences of an Incorrect Agreement

Payment Disputes: Delayed invoices, lien exposure.
Delay Damages: Liquidated damages or claims.
Lien Risk: Mechanic liens may attach.
Regulatory Fines: Permitting or OSHA penalties.
Insurance Gaps: Claims may be denied.
Contract Voidance: Unauthorized signatures risk enforceability.
