SCOPE OF WORK

The Assessor shall perform a skills assessment consistent with the methods checked above, produce a written assessment report including ratings and an Individual Development Plan, and deliver the report in the agreed format and within the agreed timeframe.

PAYMENT TERMS

The Recipient shall pay the Assessor the fees set forth below in return for services and deliverables specified in this document. Fees are due in accordance with the schedule and subject to late fees as described.

TERM AND TERMINATION

This Agreement commences on the Start Date below and continues until the End Date below unless earlier terminated in accordance with the notice provisions herein.

Either party may terminate this Agreement for convenience upon providing the other party the notice set forth above. Termination for cause may be immediate where a material breach remains uncured for more than the notice period following written notice.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public information obtained in connection with this assessment. Confidential information shall not be disclosed except to personnel with a need to know, except as required by law. Confidentiality obligations survive termination for a period of years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

ENTIRE AGREEMENT

This document, including any appended statements of work and schedules, constitutes the entire agreement between the parties with respect to the skills assessment services and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

Amendments to this Agreement must be in writing and executed by authorized representatives of both parties.

By signing below, the parties acknowledge that they have read, understand, and agree to be bound by the terms and conditions contained in this Skills Assessment Sheet and Service Agreement.
