SLEEP NAPPING AGREEMENT

This Sleep Napping Agreement (the Agreement) is made and entered into as of by and between Service Provider Name: , with contact at , and Client Name: , with contact at .

RECITALS

WHEREAS, Service Provider operates facilities and/or provides on-site services for supervised sleep napping sessions offered to clients for restorative rest, rejuvenation and related support; and

WHEREAS, Client desires to receive a supervised sleep napping session or series of sessions from Service Provider under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth their responsibilities, payment arrangements, and risk allocation with respect to such sessions.

SCOPE OF WORK

Service Provider will provide supervised sleep napping services described below. Services include preparatory guidance, nap supervision, provision of nap environment and equipment as agreed, and post-nap monitoring for a reasonable recovery period.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in exchange for the services rendered. All fees are inclusive of the services expressly described herein unless otherwise stated.

TERM AND TERMINATION

This Agreement commences on the Start Date below and continues until the End Date below, unless earlier terminated in accordance with this Agreement.

Either party may terminate for material breach that is not cured within the notice period. Service Provider may also terminate immediately where Client’s presence poses a health or safety risk.

CONFIDENTIALITY

Each party shall keep confidential all non-public business, health and personal information obtained from the other party in connection with the services. Confidential information does not include information that: (a) is or becomes public without breach; (b) was lawfully in the recipient’s possession prior to disclosure; or (c) is required to be disclosed by law or court order, provided the disclosing party is given prompt notice to seek protective treatment.

HEALTH, CONSENT AND SAFETY

Client affirms that Client has disclosed any relevant medical conditions, sleep disorders, pregnancy, medication use, or other conditions that may materially affect participation. Client acknowledges that sleep carries inherent risks and consents to supervised rest. Client agrees to follow Service Provider’s safety instructions.

INSURANCE, INDEMNIFICATION AND LIMITATION OF LIABILITY

Service Provider maintains appropriate general liability insurance as required by law. Client shall indemnify and hold harmless Service Provider, its owners, employees and agents from any third-party claims arising from Client’s acts or omissions, except to the extent caused by Service Provider’s gross negligence or willful misconduct.

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages.

CANCELLATION AND RESCHEDULING

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles. Exclusive jurisdiction for disputes shall be the state and federal courts located in that state.

ENTIRE AGREEMENT

This Agreement, together with any written addenda or schedules signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and agreements, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.
