SMOKE DETECTOR INSTALLATION AGREEMENT

This Smoke Detector Installation Agreement (the Agreement) is entered into as of between:

WHEREAS

WHEREAS, Client is the owner or authorized occupant of the property located at (Property); and

WHEREAS, Service Provider is duly qualified and experienced to perform smoke detector supply, installation, testing, and related services and represents that it holds all required licenses and insurance to perform the Work; and

WHEREAS, Client desires to engage Service Provider to perform such installation and related services at the Property under the terms set forth in this Agreement.

SCOPE OF WORK

Service Provider shall supply and install smoke detectors, interconnect wiring (if specified), batteries, mounting hardware, and shall perform functional testing, placement verification, and clean-up as described below. The specific tasks to be performed are:

PAYMENT TERMS

In consideration of the Work, Client shall pay Service Provider the sums set forth below in accordance with this Payment Terms section.

Late payments shall incur a late fee equal to of the overdue amount per month, compounded monthly, plus reasonable collection costs.

TERM AND TERMINATION

The term of this Agreement commences on and expires on unless earlier terminated as set forth herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice. Termination shall not relieve Client of its obligation to pay for Work performed to date.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any non-public information concerning the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that is or becomes publicly known other than through breach of this Agreement.

WARRANTY, INSPECTION, PERMITS AND COMPLIANCE

Service Provider warrants that all installed detectors and related workmanship will be free from defects in material and workmanship for a period of from the date of installation, subject to normal wear and excluded acts of third parties. Service Provider shall test each installed detector at completion and provide a written inspection record to Client.

Service Provider shall comply with applicable building and fire codes. Responsibility for obtaining any required permits shall be:

INSURANCE AND INDEMNIFICATION

Service Provider shall maintain commercially reasonable general liability insurance and, where applicable, workers' compensation insurance. Service Provider shall indemnify, defend and hold harmless Client from and against any claims arising out of Service Provider's negligence or willful misconduct in connection with the Work, except to the extent caused by Client's negligence.

CONSENTS AND AUTHORIZATIONS

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state where the Property is located, without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification must be in writing and signed by both parties.
