WHEREAS, the parties wish to document ordering procedures, price, delivery, payment, confidentiality and other commercial terms applicable to snack orders placed by Client.

SCOPE OF WORK

Vendor shall procure, package, label and deliver snack items as ordered by Client in accordance with the specifications and delivery schedule established in each Order. Vendor warrants that products supplied will comply with applicable food safety laws, will be fit for consumption, and will conform to the description provided at time of order.

Client may submit orders by written purchase order or electronic notice to Vendor's ordering contact. Each order shall identify item, quantity, delivery date and delivery location. Vendor's acceptance of an order is subject to availability and will be confirmed in writing.

PAYMENT TERMS

Client shall pay Vendor for accepted orders in accordance with the prices agreed on each Order. Unless otherwise agreed in writing, the following payment terms apply.

TERM AND TERMINATION

This Agreement shall commence on the Start Date below and, unless earlier terminated in accordance with the terms herein, shall continue until the End Date below or until terminated by either party upon written notice as provided herein.

CONFIDENTIALITY

Each party shall hold in confidence and not disclose to any third party any non-public business or technical information of the other party disclosed in connection with this Agreement, including customer lists, pricing, and product specifications. Confidential information does not include information that is or becomes publicly known other than through a breach of this Agreement or that is rightfully received from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of laws principles.

ENTIRE AGREEMENT

This Agreement, together with all accepted Orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, communications and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Vendor represents and warrants that all products supplied under this Agreement will be free from defects and conform to applicable labeling and health regulations. Client shall inspect deliveries promptly and notify Vendor of any shortages or nonconforming goods within five (5) business days of receipt. Remedies for nonconforming goods shall include replacement or refund at Vendor's option.
