Snow & Ice Management Services Agreement

This Snow & Ice Management Services Agreement (the Agreement) is made effective as of by and between the parties identified below.

Parties

Recitals

WHEREAS, Client owns or controls the property and premises identified in this Agreement and desires to obtain snow removal and ice management services for the property; and

WHEREAS, Service Provider is engaged in the business of snow and ice management and represents that it has the personnel, equipment, insurance and expertise necessary to perform such services in a safe and workmanlike manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide snow and ice management services to Client.

Scope of Work

Service Provider shall perform the work described below in a professional manner consistent with industry standards, using qualified personnel and appropriate equipment. Services may include snow plowing, shoveling, de-icing, anti-icing applications, sidewalk clearing, and related seasonal services as applicable to the property.

Payment Terms

Contract Price: Client agrees to pay Service Provider the sum of $ for the services described herein, subject to adjustments as set forth below.

Payment Schedule:

Monthly invoicing    Per-event invoicing    Seasonal lump-sum

Invoices will be issued in accordance with the selected schedule and are due within days of the invoice date. Client shall pay all undisputed amounts promptly. Any undisputed amounts not paid within the stated period shall accrue interest at the rate set forth below.

Late Fee/Interest: Past due balances shall be subject to a late fee of (or the maximum legal rate if less). Client shall also be responsible for all collection costs, including reasonable attorneys' fees.

Additional Charges: Materials (including salt, abrasives, de-icers) and special equipment or services requested by Client or required due to unusual conditions will be billed separately at cost plus an agreed markup. Service Provider will notify Client of anticipated additional charges when practicable.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the intended termination date. Either party may terminate for cause upon material breach by the other party if such breach remains uncured after ten (10) days' written notice, or immediately if the breach presents an immediate safety hazard or material liability.

Confidentiality

Each party agrees that all non-public business, operational and financial information disclosed by one party to the other in connection with this Agreement shall be treated as confidential and shall not be disclosed to third parties except as required by law or to the party's professional advisors who are bound by confidentiality. Confidential information does not include information which is or becomes publicly available other than by breach of this Agreement or which is independently developed without use of the other party's confidential information.

Insurance and Indemnification

Service Provider shall maintain, at its sole cost and expense, commercial general liability insurance with limits of not less than per occurrence, workers' compensation as required by law, and automobile liability covering owned and non-owned vehicles used in performance of the services. Service Provider shall, upon request, furnish certificates of insurance to Client.

Indemnification: Service Provider shall defend, indemnify and hold harmless Client, its officers, employees and agents from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from Service Provider's negligent acts, omissions or willful misconduct in performance of the services, except to the extent caused by Client's negligence or willful misconduct.

Force Majeure

Neither party shall be liable for failure or delay in performance to the extent caused by events beyond its reasonable control, including but not limited to extreme weather, government orders, strikes, or equipment failures (Force Majeure Event). The party affected by a Force Majeure Event shall give prompt notice to the other party and take reasonable steps to resume performance.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved in the state or federal courts located in the county of the governing state selected above.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations, and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information provided by each party below and shall be deemed given when delivered personally, sent by certified mail, or sent by nationally recognized overnight courier.
