SOCIAL MEDIA TIKTOK VERIFICATION AGREEMENT

THIS AGREEMENT is entered into by and between Service Provider: and Client Name: .

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing social media account review, documentation preparation, and representation to platforms for the purpose of verifying account authenticity and securing verification badges; and

WHEREAS, Client operates or controls the TikTok account identified below and desires that Service Provider perform the services described herein to pursue official verification status for that account; and

WHEREAS, the parties agree that Service Provider will use commercially reasonable efforts to assist in the verification process but cannot guarantee platform outcomes, which are determined solely by the platform's internal policies.

ACCOUNT INFORMATION

SCOPE OF WORK

Service Provider will perform the following services on behalf of Client pursuant to this Agreement. Specific tasks and deliverables are set forth below and may be amended by written agreement of the parties.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration of the Services. All amounts are in the currency specified by the parties.

All payments are non-refundable except as expressly provided in this Agreement. Client authorizes Service Provider to suspend services if payment obligations are not met.

TERM AND TERMINATION

This Agreement begins on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective termination date. Service Provider may terminate immediately upon material breach by Client or nonpayment.

Upon termination, Client shall pay for all services performed and costs incurred through the termination date. Sections that by their nature should survive termination shall survive.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement that is marked or reasonably understood to be confidential ("Confidential Information"). Confidential Information does not include information that (i) is or becomes publicly known through no breach of this Agreement, (ii) was known to the receiving party prior to disclosure, or (iii) is independently developed without use of the disclosing party's Confidential Information.

Service Provider may disclose Confidential Information to its employees or contractors performing the Services, provided such persons are bound by confidentiality obligations no less protective than those set forth herein.

AUTHORIZATION AND REPRESENTATIONS

Client represents and warrants that it is the owner or authorized manager of the TikTok account identified herein and has full authority to engage Service Provider and to provide any identity documents or account access necessary for performance. Client authorizes Service Provider to communicate with platform representatives and submit documents on Client's behalf.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Client agrees to indemnify, defend and hold harmless Service Provider and its officers, employees and agents from and against any claims, damages or liabilities arising from Client's breach of representations or from content provided by Client. Service Provider's liability arising out of or in connection with this Agreement shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement; in no event will Service Provider be liable for consequential, incidental, indirect or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral.

No modification to this Agreement will be effective unless in writing and signed by both parties.
