What the Software Development Services Agreement Is

A Software Development Services Agreement is a contract that sets the scope, deliverables, timelines, intellectual property assignments, payment terms, warranties, and dispute-resolution rules between a client and a developer or development firm. It defines responsibilities for requirements, testing, change control, and maintenance, and allocates risk for defects, delays, and third-party components. For commercial clarity, the agreement typically includes acceptance criteria, a statement of work or schedule of deliverables, confidentiality clauses, and termination rights to govern how the parties proceed when work is complete or needs modification.

Why a Clear Agreement Matters for Software Projects

A written Software Development Services Agreement reduces scope disputes, preserves IP ownership, and clarifies delivery and payment milestones. It supports enforceability under U.S. e-signature law (ESIGN, 15 U.S.C. ch. 96) and state UETA statutes, and helps establish remedies for missed deadlines, defects, or data breaches.

Why a Clear Agreement Matters for Software Projects

Typical parties and roles that rely on this agreement

Common signers and stakeholders include the hiring organization, the vendor or contractor, project managers, and legal or procurement approvers.

  • Hiring Organization Procurement or legal approver signs for contract acceptance and budget authority.
  • Vendor Authorized officer or project lead signs to confirm capacity and contractual commitments.
  • Technical Lead Project manager or lead developer listed as day-to-day contact for change orders and acceptance.

Identifying the right signers and stakeholders upfront prevents later challenges to authority and avoids execution delays.

Who may have authority to sign

Project Manager

The project manager may sign for operational approvals on behalf of the vendor when delegation is documented. Ensure the contract references delegation limits and that signatures fall within the authority granted by a corporate resolution or procurement policy.

Authorized Officer

An executive with signing authority (CEO, CFO, or VP authorized by board resolution) should execute the agreement when it binds the company financially or creates long-term obligations. Verify authority by checking corporate bylaws or a certificate of incumbency.

Step-by-step: Getting the agreement signed

Follow these steps to prepare, review, and execute a Software Development Services Agreement efficiently.

  • 01
Prepare draft: Assemble SOW, milestones, and pricing and attach as exhibits.
  • 02
Legal review: Have counsel review IP, liability caps, and indemnities.
  • 03
Obtain approvals: Secure procurement, finance, and executive sign-off as required.
  • 04
Execute: Use an eSignature platform to capture signatures and retain the audit trail.

Typical electronic execution workflow

A standard eSignature workflow streamlines routing, signer authentication, and record retention for software contracts.

  • Upload document: Upload final contract and SOW to the signing platform.
  • Place fields: Add signature, name, date, and initial fields where required.
  • Add signers: Enter signer emails and define signing order if needed.
  • Send for signature: Dispatch invites, track progress, and capture completed audit trail.

Configuring an online signing workflow for this agreement

Recommended settings reduce friction and strengthen evidentiary value of electronic signatures.

Field Configuration
Signing Order Enable sequential signing when approvals must follow hierarchy
Authentication Use email + SMS code or ID verification for higher-assurance signers
Document Retention Store signed PDF with audit trail and tamper-evident seal
Notifications Enable reminders and completion emails for all parties

Platform and format requirements for e-signing

Ensure the chosen solution provides tamper-evident signed PDFs, secure storage, and an auditable trail for regulatory or audit requests.

  • File formats: PDF, DOCX supported; PDF preferred for final executed copy.
  • Integrations: Connect to CRM/ERP for contract lifecycle tracking.
  • Authentication: SMS, email, or KBA for signer verification.
